| 中文摘要: | 集团管控是大型企业集团在战略指导下,通过明确化的权责利分配、结构化的管理架构、标准化的管理流程和多元化的管理手段,使组织架构、经营效能与风险控制相协调的一套管理控制系统。九十年代全球第五次兼并浪潮蔓延至国内,于世纪之交,国企购并被推向高潮。许多采取多元化战略的大型民营企业集团自并购狂潮中发展起巨大身量。但当时国内的资本市场尚未发育成熟,大多数企业集团缺乏集团管控经验,并购带来大量资产的同时,也带来相应的管理问题。其中有部分企业参照国外优秀的集团管控模式样板,在变革中搭建起集团管控模式和体系。 案例企业SG集团是上述企业的典型代表,其托生于公有制经济,发展于改革开放和现代化建设新时期,历经数次转制、合并,是一代民营企业发展的缩影。本论文以SG控股公司当前集团管控中的困境为研究对象,通过文献综述法将集团管控及其模式的相关概念、股东知情权的概念、权变理论、两权分离理论、委托代理理论和信息不对称理论等与案例分析相结合,系统性的对其集团管控存在的问题进行分析,就关键且迫切的组织结构体系问题、战略管理体系问题、业绩评价体系问题、法律风控体系问题等进行重点分析,并以问题为导向制定出优化方案。 具体优化方案的内容包括:就其组织结构体系问题,采取管控模式调整、组织架构调整、加强总部建设的方式改进;就其战略管理体系问题,从明确权责、科学制定、分解执行、控制评估、资源整合等方面加以建设;就其业绩评价体系问题,分别从企业年度目标责任制、企业高管管理和总部绩效考核进行优化;就其法律风控体系问题,重点落实建筑主业风控管理,并通过强化风控部门协作、加强教育和警示的途径保障效果。希望通过本研究对相似企业集团解决管控问题提供帮助借鉴。 | |
| 英文摘要: | Group control is a set of management system for large enterprise groups to coordinate organizational structure, operating efficiency and risk control through explicit distribution of rights, responsibilities and interests, structured management structure, standardized management process and diversified management means under the strategic guidance. In the 1990s, the fifth wave of mergers and acquisitions spread to China. At the turn of the century, the merger and acquisition of state-owned enterprises was pushed to a climax. Many large private enterprise groups have developed a huge size from the frenzy of mergers and acquisitions, it seems that diversified strategic groups suddenly stand at the forefront of China's market economy. However, at that time, the domestic capital market was not yet mature, and most enterprise groups lacked experience in group control. While bringing a large amount of assets, merger and acquisition also brought corresponding management problems. the domestic capital market was not yet mature, and most enterprise groups lacked experience in group control. After the merger and acquisition, enterprise assets came quickly, but enterprise management became a great difficulty. Some enterprises refer to the excellent group management and control model in foreign countries and set up the group management and control model and system in the reform. SG Group is a typical representative of the above enterprises. It was born in the public ownership economy, and developed in the new era of reform, opening up and modernization.. After several times of transformation and merger, it is the epitome of the development of a generation of private enterprises. This thesis takes SG Holding Company's current predicament in group control as the research object. Through literature review method, it combines related concepts of group control and its mode, concept of shareholders' right to know, contingency theory, separation theory of two rights, principal-agent theory and information asymmetry theory with case analysis to systematically analyze the problems existing in group control. And the key and urgent organizational structure system problems, strategic management system problems, performance evaluation system problems, legal risk control system problems are analyzed, and problem-oriented to develop an optimization plan. The contents of the specific optimization plan include: in terms of the organizational structure system, the management and control mode should be adjusted, the organizational structure should be adjusted, and the construction of the headquarters should be strengthened. On the issue of its strategic management system, from the clear rights and responsibilities, scientific formulation, decomposition of implementation, control evaluation, resource integration and other aspects to construct; In terms of its performance evaluation system, it is optimized from the aspects of annual target responsibility system, executive management and headquarters performance evaluation. In terms of its legal risk control system, it focuses on implementing the risk control management of the main construction industry, and guarantees the effect by strengthening the cooperation of risk control departments, strengthening education and warning. It is hoped that this study can provide reference for similar enterprise groups to solve management and control problems. | |
