中文摘要：	A企业作为直辖市区级房地产开发类国有企业，在成立的20年间，完成了从一家只从事还迁房建设的功能类房地产企业，到现在成为集房地产开发、城市开发及配套功能于一体的城市综合开发商取得了取得诸多可喜成绩。尤其在组建成立集团、创新经营模式、加强内部控制等方面颇有成效。但也存在一定程度的不足和隐患，特别是在后国企改革的大背景下，进一步发挥国有企业党组织作用，规范董事会建设，完善经理层市场化选聘、引进职业经理人等方面对国企改革三年行动提出的要求，在公司治理方面还存在差距。 本文选取A企业公司治理的改善过程作为研究对象，通过调查研究法深入了解到了A企业现阶段公司治理践行情况，包括企业的基本情况和治理现状。通过系统的文献分析，以A企业的实际情况为基础，结合最新的理论，包括产权理论、委托代理理论和内部人控制理论，探讨了该企业的公司治理现状，并以此为基础，探讨了其可能的挑战、机遇和不足，最终制订了有效的应对措施。 文章认为在国企改革的背景下A企业公司治理存在的诸多问题，包括股权结构单一、治理结构不健全、运行机制不到位和制度体系不完善。并对问题成因进行了深入分析，认为之所以存在上述公司治理短板，问题集中在推进股权多元化动力不足、中国特色现代企业制度未根本设立、人才激励不到位和内部管理不到位。认为改善A企业公司治理，提升公司整体运行效率，一是要对股权结构进行优化，二是要对治理结构进行优化，三是要对运行机制进行优化，四是对制度体系进行优化。而做好国企改革“后半篇”文章的政策背景下，也为A企业公司治理模式的优化提供了保障。
英文摘要：	In the past 20 years, Enterprise A, as a state-owned enterprise under the jurisdiction of the real estate development zone at the municipal level, has completed the transformation from a functional real estate enterprise only engaged in the construction of relocated houses to a comprehensive urban developer integrating real estate development, urban development, and supporting functions, and has achieved many gratifying achievements. In particular, it has achieved significant results in establishing a group, innovating business models, and strengthening internal control.However,there are also some shortcomings and hidden dangers to a certain extent. This article combines theory with practice to deeply analyze the problems existing in the current corporate governance model of Enterprise A. This article selects the corporate governance model of Enterprise A as a research case, deeply understanding and analyzing the specific situation of the case through investigation and research methods. Using literature analysis methods, starting from the definition of corporate governance, it conducts a classified study of relevant concepts and theoretical literature. Using the ideas of raising, analyzing, and solving problems, this paper deeply studies the current situation, problems, and countermeasures of the corporate governance model of Enterprise A. Starting with basic concepts,the article begins by introducing the categories of basic concepts such as state-owned enterprises,state-owned enterprise reform,and corporate governance,and analyzing relevant theories of corporate governance research. Next,I will briefly describe the research frontiers of corporate governance at home and abroad,focusing on both international and foreign realities,and conduct a comparative analysis of corporate governance models in advanced Western countries and developed regions in the southeast to explore their advantages,in order to extract relevant inspiration for the corporate governance model of Company A. On this basis,it summarizes and analyzes the practice of corporate governance in Enterprise A,and then briefly describes the many problems that exist in corporate governance in Enterprise A under the background of state-owned enterprise reform,including a single ownership structure,imperfect governance structure,inadequate operational mechanisms,and imperfect institutional systems. Based on an in-depth analysis of the causes of the problems,it is believed that the reasons for the above-mentioned shortcomings in corporate governance lie in the"dominance of one shareholder",which leads to the difficulty of the"three committees"to play their role,the lack of fundamental establishment of modern enterprise systems,and the imperfect internal and external systems. Therefore,countermeasures should be proposed to solve the problems. This article believes that optimizing the corporate governance model of Enterprise A and improving the quality and efficiency of corporate governance operations can be optimized from three aspects: adhering to the leadership of the Party,optimizing the ownership structure,and optimizing the governance structure. Under the policy background of the"second half"article on the reform of state-owned enterprises,it also provides a guarantee for the optimization of the corporate governance model of Enterprise A.
