中文摘要: | 在我国社会经济发展过程中,国有企业在经济发展、公共服务和民生领域都发挥了较大的作用。另外,在我国十九大报告中多次强调,国有企业应继续深化混合所有制改革,以提质增效和保值增值为主要目标,不断强化国有资本的实力,助于 “两个一百年” 国家战略目标的实现。百泰集团是一家以体外诊断仪器和耗材为主营业务的公司,是我国首批国有企业混合所有制改革的先锋企业,百泰集团通过合并和新设公司的路径积极地进行了混合所有制改革的探索,虽然取得了很多骄人的成绩,但是在公司治理方面也出现了很多问题。 本文以中央骨干企业的二级集团化公司百泰集团为研究对象,采用现场访谈的方法对百泰集团公司治理的现状及存在问题进行了研究。首先,介绍了本文的研究背景、研究目的和意义以及研究内容和方法;其次,介绍了集团公司治理和委托代理理论,并对国内外学者关于公司治理方面的研究进行了梳理、分析和述评,为本文研究奠定坚实的理论基础;再次,本文对百泰集团混合所有制改革的公司治理情况进行了全面的分析,包括集团概况、股东、董事会、监事会、高级管理层的治理现状,以及集团对子公司控制与协调方式;最后,本文采用访谈调查的方法对百泰集团公司治理存在问题进行了分析,研究发现百泰集团主要存在股权结构不合理、董事会职责不完善、监事会监管不力、高级管理层激励约束机制不完善等方面问题。在以上分析基础上,结合公司治理的相关理论和访谈结果,本文提出了百泰集团公司治理的优化策略及建议:优化股权结构,完善企业的管理架构;对董事会应当规范授权并制定授权方案,明确董事会授权具体内容和操作性要求;优化监事会的人员配置,加强其对各项活动和运营状况监管作用;完善高级管理层的任免机制、考核机制和激励机制。 针对百泰集团混合所有制改革中公司治理存在的问题,本文提出了具有针对性地优化策略,旨在树立百泰集团品牌形象,打造混合所有制公司的核心竞争力,并促进集团的可持续发展,本研究为百泰集团及正在进行混合所有制改革的集团公司治理提供了一定的理论参考。 | |
英文摘要: | In the process of China's socio-economic development, state-owned enterprises have played a significant role in economic development, public services, and people's livelihood. In addition, in the report of the 19th National Congress of China, it has been repeatedly emphasized that state-owned enterprises should continue to deepen the reform of mixed ownership, with the main goal of improving quality and efficiency, maintaining and increasing value, and continuously strengthening the strength of state-owned capital, contributing to the realization of the "two hundred year" national strategic goals. Baitai Group is a company group with in vitro diagnostic instruments and consumables as its main business. It is one of the first pioneer enterprises in the mixed ownership reform of state-owned enterprises in China. Baitai Group has actively explored the mixed ownership reform through the path of merger and new company establishment. Although it has achieved many impressive results, there have also been many problems in corporate governance. This article takes Baitai Group, a secondary group company that is a central backbone enterprise, as the research object, and uses the method of on-site interviews to study the current situation and existing problems of Baitai Group's corporate governance. Firstly, it introduces the research background, purpose, significance, content, and methods of this article; Secondly, it introduces group corporate governance and principal-agent theory, and reviews the research of domestic and foreign scholars on corporate governance, laying a solid theoretical foundation for this study; Thirdly, this article conducts a comprehensive analysis of the current situation of corporate governance of Baitai Group after the reform of mixed ownership, including the group overview, the governance status of shareholders, the board of directors, the board of supervisors, and the senior management, as well as the way the group controls and coordinates its subsidiaries; Finally, this article uses the method of interview and investigation to analyze the existing problems in Baitai Group's corporate governance. The research finds that Baitai Group mainly has issues such as unreasonable ownership structure, imperfect responsibilities of the board of directors, ineffective supervision by the board of supervisors, and imperfect incentive and constraint mechanisms for senior management. Based on the above analysis, combined with relevant theories of corporate governance and interview results, this article proposes optimization strategies and suggestions for Baitai Group's corporate governance: optimizing the ownership structure and improving the management structure of the enterprise; The board of directors should standardize authorization and formulate authorization plans, clarifying the specific content and operational requirements of the board of directors' authorization; Optimize the staffing of the board of supervisors and strengthen its role in supervising various activities and operating conditions; Improve the appointment and removal mechanism, assessment mechanism, and incentive mechanism for senior management. Aiming at the problems existing in the corporate governance of Baitai Group during the mixed ownership reform process, this paper proposes targeted optimization strategies aimed at establishing the brand image of Baitai Group, creating the core competitiveness of mixed ownership companies, and promoting the sustainable development of the group. This study provides a certain theoretical reference for Baitai Group and the group corporate governance that is undergoing the mixed ownership reform. | |
