中文摘要:在当前国有企业改革的大背景下,规范国有企业治理,提高国有资产投资回报,是当下一段时期内国企改革的重点。伴随着国有企业变革的不断深入,企业提高国有资产收益、走市场化战略转型之路势在必行。对于采取多元化战略和集团化模式运作的国有企业来说,企业生存的环境日益复杂,对企业集团化运作能力的要求也越来越高。面对复杂的内外部发展环境,如何完善国有企业集团治理机制、优化集团治理体系、提升国有企业集团面对市场的综合竞争力成为了一项迫在眉睫的任务。 本文系统梳理了公司治理、集团治理以及集团管控的相关理论研究成果,运用了调查访谈、案例分析和文献研究相结合的研究方法,以地方国有平台企业——TE公司为研究对象进行了集团治理优化的研究。首先,详细调研分析了TE企业集团的经营情况和治理现状,看到了TE公司在快速发展中面临的治理能力跟不上发展要求的现实问题,识别出企业运行中存在的如创新突破效果不佳、运行效率低下、集团协同效应发挥不足以及子公司经营行为短期化等诸多问题;其次,运用集团治理相关理论和研究对问题产生的原因进行了分析,包括母公司职能定位不清晰、管控模式不适应发展需求、组织结构与战略不匹配、绩效评价机制不合理;第三,结合公司实际从强化母公司职能定位、完善组织架构、建立综合管控模式和完善绩效评价机制等四个层面提出了集团治理优化的具体实施策略;最后,为确保治理优化的策略能顺利实施,提出了监督和保障的具体措施。 本文研究结论认为以TE公司为代表的国有企业,实现高质量转型发展目标,应在母公司职能定位、集团管控模式、组织架构以及绩效评价等方面进行系统的优化改进,提升集团运行效率,化解治理难题,以应对激烈的市场竞争。本文提出的集团治理优化方案,对于提升TE企业集团治理现状,有着较为重要的现实指导意义。同时,也可为其他国有企业集团在实施治理优化时提供参考。  
英文摘要:In the current context of the reform of state-owned enterprises, standardizing the governance of state-owned enterprises and improving the return on investment in state-owned assets are the key points of the reform of state-owned enterprises in the current period. With the continuous development of the transformation of state-owned enterprises, it is imperative for enterprises to improve the income of state-owned assets and take the path of market-oriented strategic transformation. For state-owned enterprises operating in a diversified strategy and collectivization mode, the environment for their survival is becoming increasingly complex, and the requirements for the governance ability of enterprise groups are increasingly high. Facing the complex internal and external development environment, how to improve the governance mechanism of state-owned enterprise groups, optimize the group governance system, and enhance the comprehensive competitiveness of state-owned enterprise groups facing the market has become an urgent task. This article systematically reviews the theoretical research results related to corporate governance, group governance, and group control. Using a combination of research methods such as survey interviews, case studies, and literature research, it conducts a research on group governance optimization with a local state-owned platform enterprise, TE Company, as the research object. Firstly, a detailed investigation and analysis of the operation and governance status of TE enterprise groups was conducted, and the practical problems faced by TE companies in their rapid development, such as the inability of their governance capabilities to keep up with development requirements, were identified. Many problems in the operation of the enterprise, such as poor innovation and breakthrough results, low operational efficiency, insufficient synergy of the group, and short-term operating behavior of subsidiaries, were identified; Secondly, using relevant theories and research on group governance, the author analyzes the causes of the problems, including unclear functional positioning of the parent company, inadequate management and control models to meet development needs, mismatched organizational structure and strategy, and unreasonable performance evaluation mechanisms; Thirdly, based on the actual situation of the company, specific implementation strategies for optimizing group governance are proposed from four aspects: clarifying the functional positioning of the parent company, improving the organizational structure, establishing a comprehensive management and control model, and improving the performance evaluation mechanism; Finally, in order to ensure the smooth implementation of the governance optimization strategy, specific measures for supervision and protection are proposed. The research conclusion of this article is that in order to achieve the goal of high-quality transformation and development, state-owned enterprises represented by TE Company should systematically optimize and improve the functional positioning of the parent company, group management and control mode, organizational structure, and performance evaluation, improve the operational efficiency of the group, resolve governance challenges, and respond to stimulating market competition. The group governance optimization scheme proposed in this article has important practical guiding significance for improving the governance status of TE enterprise groups. At the same time, it can also provide reference for other state-owned enterprise groups when implementing governance optimization.
