| 中文摘要: | 化工工业作为知识与资金密集型的传统行业,产品品类繁多,应用领域广泛,在我国国民经济中占有重要地位。我国化工企业总体上以规模小、技术水平低、产品档次低为主要特征,在化工方面我国企业的科技成果及自主知识产权较少, 也一定程度上制约了我国化工行业的发展。伴随全球化的发展与环保要求的不断提高,化工行业竞争与淘汰也日趋激烈,行业总体向规模化、精细化、低排放方向发展。为了能在现有的市场环境下获得更大的竞争优势,各企业也都在发挥各自优势占据更多市场。 BH公司作为传统化工企业,在双产品驱动下面临发展危机时,计划通过战略变革焕发新生,重新获得竞争优势。在地方政府牵头下,BH公司引进战略投资者,以获得技术、市场及管理赋能,推进其战略变革的实施。BH公司在战略投资者引进后所确定的竞争战略与采取的战略变革举措是适宜的。但在战略投资者引进、变更股权结构、调整管理层和让渡实际控制权的过程中,没有做好充分的风险评估和应对预案,导致在战略变革中突遇战略投资者撤离,为企业带来运营风险、资产损伤风险、竞争风险及商誉风险等一系列战略变革风险。本文通过对股权结构变更后所形成的战略变革风险的分析研究,有针对性地提出改进建议与举措,以纠正前期战略决策、战略实施过程中的偏差,寻求可能规避战略变革风险的措施,减少企业因战略投资者离去而产生的损失,缓释战略变革风险。本文通过文献分析、访谈调查及实证研究的方式获得BH公司的各项数据和资料,对获得的数据运用竞争战略、战略变革、战略风险等理论加以分析,以协助BH公司更好的识别风险、应对风险、规避风险。 本文在战略变革风险的角度上,结合BH公司案例实际,更加具体的阐述了战略变革风险的表现,对战略变革风险的研究具有一定的理论价值。系统地对股权结构变更带来的战略变革风险及应对措施进行分析,不仅对案例企业具有重要的现实意义,也对于其他企业在通过引入战略投资者推动战略变革实施上具有较强的指导意义和实操参考。 | |
| 英文摘要: | As a knowledge and capital intensive traditional industry, the chemical industry has a wide range of products and applications, which plays an important role in China's national economy. China's chemical enterprises are generally characterized by small scale, low technology level and low product grade. In chemical industry, China's enterprises have few scientific and technological achievements and independent intellectual property rights, which also restricts the development of China's chemical industry to a certain extent. With the development of globalization and the continuous improvement of environmental protection requirements, the competition and elimination of the chemical industry are becoming increasingly fierce, and the industry is developing towards large-scale, refined and low emission. In order to gain greater competitive advantage in the existing market environment, enterprises are also playing their own advantages to occupy more markets. As a traditional chemical enterprise, BH plans to rejuvenate and regain its competitive advantage through strategic change when facing a development crisis driven by dual products. Under the leadership of local government, BH Company introduced strategic investors to obtain technology, market and management empowerment and promote the implementation of its strategic change. The competitive strategy determined by BH Company after the introduction of strategic investors and the strategic change measures taken are appropriate. However, in the process of introducing strategic investors, changing the equity structure, adjusting the management and transferring the actual control rights, there was no adequate risk assessment and response plan, which led to the sudden withdrawal of strategic investors in the strategic change, bringing a series of strategic change risks such as operational risk, asset damage risk, competition risk and goodwill risk to the enterprise. Through the analysis and research on the risk of strategic change formed after the change of ownership structure, this paper puts forward targeted suggestions and measures for improvement to correct the deviation in the early strategic decision-making and implementation process, seek measures that may avoid the risk of strategic change, reduce the loss caused by the departure of strategic investors, and mitigate the risk of strategic change. This paper obtains various data and materials of BH Company by means of literature analysis, interview survey and empirical research, and analyzes the obtained data using the theories of competitive strategy, strategic change, strategic risk, etc. to help BH Company better identify risks, cope with risks, and avoid risks. From the perspective of strategic change risk, this paper elaborates the performance of strategic change risk more specifically in combination with the case of BH Company, which has certain theoretical value for the study of strategic change risk. Systematically analyzing the risks and countermeasures of strategic change brought about by the change of ownership structure is not only of great practical significance to the case enterprises, but also of great guiding significance and practical reference to other enterprises in promoting the implementation of strategic change by introducing strategic investors. | |
