中文摘要:党的十八大以来,为深入推动国有资本授权经营体制机制上的改革突破,国家出台了国有资本投资、运营——“两类公司”的系列改革政策,部分中央企业和地方国企被列为改革试点进行探索。在此背景下,JC公司于2020年被列为天津市国有资本运营公司改革试点。然而,JC公司在试点改革过程中,受到多方面因素影响,未取得较好的改革成效,并一度在经营发展中遇到了许多困难,亟需予以调整优化,改善试点改革的质量和效益。 针对这个主题,本文首先从“两类公司”改革相关政策和理论入手,阐述国有资本运营公司在功能定位、业务模式、权责管理、治理机制等方面需要把握的核心要点,分析了国有资本运营公司在政府(国资委)以“管资产为主”向“管资本为主”的监管模式转变上应发挥的作用;提出在建立完善现代企业制度上需要注意的要点;明晰了在主业开展上应该关注的方向。在此基础上,通过案例分析法,深入剖析JC公司在国有资本运营公司试点改革过程中在功能定位、授权经营、主业模式、治理机制四个方面存在的问题,并从政府监管模式、地方政策情况、主观改革探索上分析了问题成因。 为解决上述问题,本文结合JC公司的实际情况,提出了四个方面改进策略,主要通过资源整合,促使JC公司尽快摆脱负担,以更好聚焦国有资本运营公司的功能主责;通过政策优化,促使JC公司能更加充分行使出资人职责和股东权利,更好地承担国有资本(股权)授权经营任务;通过业务模式调整,促使JC公司控制债务风险,关注资本在流动中保值增值,更加符合国有资本运营公司投融资业务要求;通过健全治理结构和机制,促使JC公司进一步提升运营管控的效能水平。同时,为保障改进策略的可落地、可实施性,本文针对改进策略在落地实施中遇到的具体问题,进一步研究提出了相应解决措施建议。 最后,在总结全文的同时,考虑到国企改革发展总是伴随着政府监管模式的转变,围绕国家开展“两类公司”改革政策内涵,在地方政府监管方面进行了思考,提出了相关建议。希望本文成果能为具有类似情况的企业提供参考,丰富相关领域的学术研究。  
英文摘要:To further pursue the system and mechanism reform of the state-owned capital authorized operation, the government established a series of reform policies for state-owned capital investment and operation (i.e., the Two Types Companies) and selected serval central or local state-owned companies as reform pilots since the 18th National Congress of the CPC. In such circumstance, JC company was selected as state-owned capital operation company reform pilot of Tianjin in 2020. However, the JC company did not achieve expected outcome, even encountered operation problems during its pilot reform. Countermeasures were urgently needed to improve quality and benefit of the pilot reform. Focus on this, the thesis started with studying the relative policies and theories about the Two Types Companies, expounded the operational key points for state-owned capital operation companies in functionality, business pattern, rights and responsibility and management mechanism, analyzed the duties of the state-owned capital operation companies during the government (Tianjin SASAC) governance pattern transforming from Assets Priority to Capital Priority. Then, the key points of establishing and completing modern enterprise’s rules and regulations have been proposed and the core business orientation has been determined. On this base, through the case study method, the problems from functionality, authorized operation, business pattern and management mechanism aspects of the JC company during its pilot reform of state-owned capital operation company have been thoroughly analyzed in depth, as well as the causes of the problems in terms of government supervision mode, local policy situation and subjective reform exploration. Aiming at solving the problems , this thesis proposed improvement strategies in 4 aspects, based on the actual situation of JC Company: integrating the resources to impel the JC company removing its burdens and focus on the core functionality of state-owned capital operation company; optimizing the policies to embark the JC company on its rights and responsibilities as investor and shareholder, further to well undertake state-owned capital (stake) authorized operation duties; adjusting the business patterns to satisfy the investment and financing requirements for state-owned capital operation companies, preserve or increase the value during capital flowing to impel the JC company containing its debt risk; completing the management structure and mechanism to drive the JC company improving its operation management efficiency. Moreover, the thesis further studied the potential difficulties that may exist during the strategies execution and recommended corresponding countermeasures. In the end, the thesis deliberated in the intension of national the Two Type Companies reform policy and the local governance reality and proposed corresponding optimize suggestions by considering that the reform of state-owned companies is accompanied by the change of government supervision mode. Author hopes that the thesis can provide reference for the companies in similar situation and enrich relative academic research.
