中文摘要:在“一带一路”合作倡议推进过程中,中国工程企业的商业模式也在不断创新,向集项目投资、设计规划、建设和运营于一体的“投建营一体化”的商业模式转变。国际“投建营一体化”项目中涉及的利益相关者更多,产业链条更长,项目时间跨度更大,因此风险更高。如何通过构建合理的治理结构进而有效的规避项目风险确保项目成功是中国工程企业亟待解决的问题。 本文以中国国际能源“投建营一体化”项目—CV项目为案例,通过对国内外相关文献的总结与整理,使用交易成本理论、利益相关者理论和委托-代理理论的理论分析工具。对公司治理、国际“投建营一体化”项目公司、项目成功以及项目成功相关因素的概念进行界定,从公司治理的视角来研究分析 CV 项目公司的治理和CV项目成功的关系。 从治理范围上可以把CV项目公司的治理结构划分为内部治理和外部治理。内部治理主要围绕CV项目公司自身进行。主要研究了CV项目公司的股东、股权结构、董事会和执行层的治理对项目成功的影响。外部治理主要指对CV项目利益相关者的关系治理。CV项目的利益相关者的范围主要从宏观和微观两个方面进行分类。宏观因素主要包括母国政府、东道国政府和项目所在地的当地社区。微观因素主要包括金融机构、项目分包商和项目供货商。分别研究了内部治理因素和外部治理因素对项目成功的影响。 通过本文的分析,描绘了CV项目公司治理因素对CV项目成功的促成路线图,对中国工程企业在“一带一路”沿线国家开展“投建营一体化”工程项目具有一定的借鉴意义。  
英文摘要:In the process of advancing the Belt and Road Initiative, Chinese engineering companies are also innovating their business models, shifting to an "integrated investment, construction and operation" business model that integrates project investment, design, planning, construction and operation. International "integration of investment, construction and operation" projects involve more stakeholders, longer industrial chain and longer project time span, so the risks are higher. How to effectively avoid project risks and ensure project success through constructing reasonable governance structure is an urgent problem for Chinese engineering enterprises. This thesis takes the "integration of investment, construction and operation" project of China International energy -- CV project as the case. Through summarizing and sorting out relevant literatures at home and abroad, it uses the theoretical analysis tools of transaction cost theory, stakeholder theory and principal-agent theory. This paper defines the concepts of corporate governance, international "investment, construction and operation integration" project company, project success and related factors of project success, and studies and analyzes the relationship between the governance of CV project company and the success of CV project from the perspective of corporate governance. In terms of governance scope, the governance structure of CV project corporate can be divided into internal governance and external governance. Internal governance mainly revolves around CV project corporate. The influence of shareholder, ownership structure, board of directors and executive governance on project success of CV Project corporate is studied. External governance includes relationship governance with CV project stakeholders. External management involves macroscopic factor and microcosmic factor two respects. Macro factors mainly include home government, host government and local community in project location. Micro factors mainly include financial institutions, project subcontractors and project suppliers. The influence of internal and external governance factors on project success is studied respectively. Through the analysis of this thesis, the road map for the success of CV project is summarized by project company governance factors, which has certain reference significance for Chinese engineering enterprises to carry out "investment, construction and operation integration" engineering projects in countries along the "Belt and Road".
