中文摘要：	随着当前产业结构升级与供给侧改革进一步深化，我国企业实施的并购活动也愈加频繁。有数量众多的企业通过并购发展的手段实现了规模的进一步扩大和多元化的经营模式。部分企业通过并购可以实现企业内部业务的拓展以及企业规模的扩充，能够提升企业的竞争能力。但是也有为数众多的企业在并购中损失惨重，甚至导致整个企业的经营走向失败的深渊。因此如何实施企业并购，让企业并购同时适应企业自身发展的需求和大环境的适配，形成卓有成效的并购风险管理体系就凸显出了其重要性和必要性。做好并购风险管理对于恰当应对并购风险，促进并购成功具有重大意义。 SZ公司是一家过去深耕于通信基础设施业的创业板公司，近年来通过实施外部并购在顺应了国家政策号召的同时实现了进一步的规模扩张和发展，既拓宽了业务范围，又在一定阶段内提升了盈利能力和质量。然而，市场化并购的条件下必然会对企业的并购风险管理能力提出更高要求。本文就是以SZ公司作为切入点，以并购的阶段性特征为抓手，细化探究和分析其在并购风险管理上可能存在的问题并有的放矢的提出优化方案，为其他类似企业的并购风险管理活动提供借鉴。 行文结构上，本论文以SZ公司作为研究对象，在系统的梳理了其他学者的丰富理论的基础上，有针对性的深入探究SZ公司风险管理中存在的问题，希望能够得出改善其并购风险管理的手段以及有效的保障措施。首先，在引言部分介绍了本文的选题意义背景、国内外研究现状等。然后，文章对并购主体SZ公司及其并购客体做了简要的介绍，并对SZ公司并购风险管理的现状做了客观的介绍。接着，作者按照SZ并购风险管理的不同阶段有针对性对出现的问题和相关问题的成因展开了分析。随后，对前文发现的问题提出了应对方案，而对造成问题的原因提出了风险管理上的保障措施。最后作者对全文进行了总结，提出了本文的研究意义以及有待加强的方面。
英文摘要：	With the upgrading of the current industrial structure and the further deepening of the supply-side reform, Chinese enterprises are carrying out mergers and acquisitions more frequently. There are a large number of enterprises through the means of M&A development to achieve further expansion of scale and diversified business model. Some enterprises can realize the expansion of internal business and the expansion of enterprise scale through mergers and acquisitions, which can enhance the competitiveness of enterprises. But there are also a large number of enterprises in the merger and acquisition of heavy losses, and even lead to the failure of the whole enterprise. Therefore, how to implement the merger and acquisition of enterprises, let the merger and acquisition of enterprises at the same time adapt to the needs of their own development and the environment, the formation of effective merger and acquisition risk management system highlights its importance and necessity. It is of great significance to manage M & A risk properly and promote the success of M & A. SZ Company is a gem company deeply engaged in the communication infrastructure industry in the past. In recent years, through the implementation of external mergers and acquisitions, it has achieved further scale expansion and development while conforming to the call of national policies. It has not only broadened its business scope, but also improved its profitability and quality in a certain stage. However, under the condition of market-oriented merger and acquisition, the risk management ability of enterprises will be put forward higher requirements. This paper takes SZ Company as the entry point, takes the stage characteristics of merger and acquisition as the starting point, explores and analyzes the possible problems in merger and acquisition risk management, and puts forward targeted optimization plans, providing reference for the merger and acquisition risk management activities of other similar enterprises. In terms of structure, this paper takes SZ Company as the research object, systematically combs the rich theories of other scholars, and probes into the problems existing in the risk management of SZ Company, hoping to get the means and effective safeguard measures to improve its M & A risk management. First of all, the introduction introduces the significance and background of the topic and the research status at home and abroad. Then, the article makes a brief introduction to SZ company and its object of merger and acquisition, and makes an objective introduction to the current situation of SZ company's merger and acquisition risk management. Then, according to the different stages of SZ M & A risk management, the author analyzes the problems and the causes of related problems. Subsequently, the author puts forward countermeasures to the problems found above, and puts forward safeguard measures on risk management to the causes of the problems. Finally, the author summarizes the whole paper and puts forward the research significance and the aspects to be strengthened.
