| 中文摘要: | 经过40多年的改革发展,我国民营企业的发展突飞猛进,截止2020年,其中建筑行业的民营企业达到10.95万家,占行业企业总数的94%。建筑企业的发展为国民经济发展做出巨大贡献。建筑行业虽然作为支柱性产业,但由于行业利润并不高,很难形成品牌企业、规模企业。当下民营建筑企业普遍处于步履维艰的状态之中,发展难度较大,当务之急是寻找突破口,解决发展问题。身为东阳特级总承包施工企业的TX民营建筑企业,属于典型的建筑领域民营企业。当前该公司正在积极思考如何突破困局,谋求进一步的发展。 本论文针对法人治理问题展开研究,系统梳理了民营建筑和公司治理相关概念及延展、公司治理理论、公司治理模式等相关理论,综合运用案例分析法、文献综述法以及诊断研究法,以TX民营建筑公司为案例展开研究。首先深入剖析TX建筑公司的法人治理现状、存在问题及原因。认为该公司的股权高度集中,中小股东存在消极主义,不能充分保障中小股东的利益,业务独立性差;董事会资质存在不足,董事会独立性较差,运营缺乏效率;监事会的胜任能力较弱、工作积极性偏低,形同虚设;高管总经理频繁变动;中层胜任能力不高且固化;职业经理人履职不到位;同时该公司监事 、董事、经理层存在约束、激励不到位的情况。其次针对该公司法人治理提出了改进优化方案,包括改变现有股权结构,动态调整股权激励,适当赋予小股东更大的话语权,中小股东积极行动起来,强化董事会与监事的关键职能,增加董事的独立性和发挥独立董事作用,积极引入职业经理人,以事业合伙人的机制为参考,建设有效的措施激励与约束董事、监事 、经理层。最后为了优化方案提出了保障落实的方案,通过组织制度保障;充分发挥创始人引领作用,优化和落实企业核心价值观;重视企业创始人,提高创始人的公司治理能力等措施予以保障。 综上研究,本文针对TX建筑公司的实际情况提出优化法人治理的方案。本文研究结论有较大的理论和实践指导价值,可作为该公司及同类型民营建筑企业提高法人治理水平的参考,促进公司提高治理水平。未来,公司治理也要更多关注外部治理,治理是一个长期动态调整的过程,需要面对新问题不断调整和完善公司法人治理,以促进公司更好的发展。 | |
| 英文摘要: | Experiencing 4 decades of reform and development, China’s private enterprises have grown rapidly. Among them, the number of private enterprises in the construction industry had reached 109,500 by 2020, accounting for 94% of the total. The development of construction enterprises has made great contributions to the growth of national economy. As a pillar industry, however, low profits limit enterprises in the industry to emerge as a brand and develop into large scale. At present, most private construction enterprises are trapped into a state of struggling, and are difficult to develop. Thus, the top priority is to find breakthroughs, and solve development problems. TX Private Construction Company, a general contractor of special grade in Dongyang city, is a typical private enterprise in the construction field. The company is actively thinking about how to escape from the predicament, and is seeking further development. In order to research on problems existed in corporate governance related theories such as related concepts and extensions of private construction enterprises and corporate governance, corporate governance theory, corporate governance model are systematically summarized. Adopting case study method, literature review method and diagnostic study, the research is conducted with TX Private Construction Company as an example. First, the status quo, existing problems and related reasons of TX construction company's corporate governance are analyzed. And conclusions are drawn as the following: the company's equity is highly concentrated, and the minority shareholders are negative, which cannot fully protect the interests of the minority shareholders, and the business independence is poor; with insufficient qualifications, the board of directors have poor business independence and the operation is inefficient; the competence and enthusiasm of the board of supervisors are low so that they do not play their role as they should have done; mid level officials hold down a job without fulfill their responsibilities well; professional managers do not perform their duties in place; constraints and incentives are not enough to encourage employees among the company's supervisors, directors, and managers. Secondly, an improvement and optimization plan for the company’s corporate governance is proposed. Namely, it includes changing the existing equity structure, dynamically adjusting equity incentives, appropriately giving minority shareholders a greater voice to encourage small and medium shareholders to take active actions to strengthen the key functions of the board of directors and supervisors, increasing directors’ independence, provide conditions for independent directors to play role, actively introducing professional managers, taking the mechanism of business partners as a reference to build effective measures for encouraging and restraining directors, supervisors, and managers. Finally, another plan for implementing the optimization plan is put forward. safeguard measures around the implementation of corporate values, organizational system protection, and enhancement of entrepreneurial consciousness. By virtue of the organizational systems, the leading role of the founder can be fully played; core values of the enterprise can be optimized and promoted. At the same time, the founder of the enterprise should attach great importance on increasing capacity for corporate governance. In summary, a plan for optimizing legal corporate governance based on the actual situation of TX Private Construction Company is proposed. The research conclusions have relatively high theoretical and guiding value for the company and similar private construction enterprises to improve legal entity management as reference. In the future, external governance is also needed to be taken into consideration. The corporate governance is a process that needs dynamic adjustment. Thus, enterprises should adjust and improve legal entity management for better development when face new problems. | |
