中文摘要:在激烈的市场竞争中,并购己经成为企业迅速扩张、实现跳跃式发展的重要途径。并购的目的不再是获得投机性收益,而是谋求并购所带来的协同效应和企业核心竞争能力的增强,越来越多的企业开始意识到只有塑造企业的核心竞争能力才能赢得长期竞争优势。于是,越来越多的企业开始回归到主流业务,并聚焦于行业的成功因素,并将并购与企业核心竞争能力的构建紧密结合起来。从基于核心竞争力的角度实施的战略性并购,不但能够为企业的发展提供新的成长空间,而且还能够有效的把握住目前国内、国际经济格局变动所带来的发展契机。因此,从基于核心竞争力的角度对企业并购战略进行研究具有重要的现实意义。 本文从并购、核心竞争力、并购战略的概念、内涵及特点入手,首先对并购理论、核心竞争力理论、并购战略理论进行了总结与分析,回溯了企业战略思想的演变过程和企业并购的历史过程,对并购、核心竞争力与并购战略的互动关系进行了分析与阐述,提出了基于核心竞争力的并购评价模型;建立了基于核心竞争力的并购战略分析模型、列出了四种具体操作并购模式,分别包括基于市场营销核心竞争力、技术和研发核心竞争力、企业文化核心竞争力和企业管理能力的四种并购模式;并对基于核心竞争力的并购实施的关键环节进行了总结和论证,包括并购目标选择、并购交易支付方式选择、并购整合、并购的风险管理与并购绩效分析四个方面;然后,本文引用了中联重科作为案例,对其上市后一系列的并购行为进行了简要分析,引证了基于核心竞争力的并购对提升企业业绩,强化企业核心竞争力的影响和作用。 总之,本文力求建立一种新的企业并购战略的思维模式—基于核心竞争力的企业并购,并具体提出了操作层面的并购模式及购并绩效评价方法,以期能够对指导企业的并购实践有所帮助。  
英文摘要:In the fierce market competition, mergers and acquisitions has been the rapid expansion of enterprises, the development by leaps and bounds in an important way. The purpose of M & A is no longer speculative gains, but brought about by mergers and acquisitions to seek synergies and core competitiveness of enterprises increased, more and more enterprises are beginning to realize that only the core of shaping the competitiveness of enterprises in order to win the long-term competitive advantage . So, more and more enterprises are starting to return to the mainstream of business and industry to focus on success factors, and M & A and the core competitiveness of enterprises to closely combine the building. Based on the core competencies from the perspective of the implementation of strategic mergers and acquisitions, not only to the development of enterprises to provide space for new growth, but also can effectively grasp the current domestic and international economic structure brought about by changes in opportunity for development. Therefore, based on core competitiveness in terms of strategic M & A research has important practical significance. In this dissertation, mergers and acquisitions, core competitiveness, the concept of M & A strategy, connotation and characteristics of start, first of all, the theory of mergers and acquisitions, core competence theory, the theory of strategic mergers and acquisitions and analysis were summarized, the enterprise back the evolution of strategic thinking and the history of mergers and acquisitions the process of mergers and acquisitions, the core competitiveness and the interaction between M & A strategy are analyzed and explained, based on the core competitiveness of the M & A evaluation model; the establishment of core competence-based M & A strategic analysis model, the four specific operations listed in M & A mode, respectively, including those based on core competencies of marketing, technology and R & D core competitiveness, the core competitiveness of enterprise culture and enterprise management capabilities of the four M & A model; and based on the core competitiveness of the key to the implementation of mergers and acquisitions are summarized and demonstration, including M & A target selection, M & A payment choice, M & A integration, risk management and M & A performance analysis of four aspects of mergers and acquisitions; then, the paper quoted as Zhong lian zhong ke cases, after the listing of its conduct of a series of mergers and acquisitions a brief analysis of evidence based on the core competitiveness of enterprises mergers and acquisitions to enhance performance, strengthen the core competitiveness of enterprises and the role of the impact. In short, this article seeks to establish a new strategic M & A mode of thinking - based on the core competitiveness of enterprise mergers and acquisitions, and a specific level of M & A mode of operation and acquisition method of performance evaluation with a view to guiding enterprises to help M & A practice .
