中文摘要：	近年来，有关国有企业党的领导与公司治理相结合的政策频频出台，从《关于深化国有企业改革的指导意见》，到《国务院办公厅关于进一步完善国有企业法人治理结构的指导意见》，再到《中国共产党国有企业基层组织工作条例（试行）》，政策明确要坚持加强党的领导和完善公司治理相统一，把党的领导融入公司治理各环节，坚持党建工作与生产经营深度融合。党组织参与公司治理，对我国的企业，特别是国有企业而言，是一项必须面对的课题。在国有企业中，党组织的参与丰富了公司治理的主体，改变了公司治理的架构和过程。本文以国有独资的Y公司为研究对象，通过总结经验和问题，对党组织参与公司治理的机制进行研究。本文研究的党组织主要指公司党委（党组），也包括公司中各级党的组织。 Y公司是一家汽车制造厂商，在党组织参与公司治理的实践中进行了一系列探索，包括修订党委会议事规则制度，明确党委会的前置把关程序等，增强应对风险的能力，使企业更好地兼顾经济效益和社会效益、短期效益和长期效益。本文分析Y公司党组织在参与公司治理的实践中，在公司法人治理结构、制度建设、参与决策、实施监督等方面存在的问题。针对问题提出对策建议，包括明确党组织在公司法人治理结构中的职责定位，加强制度衔接，严格落实党委会先议董事会后决，推动单一监督向综合监督转变等。 本文研究Y公司党组织参与公司治理的机制，从党组织扮演的角色、参与的维度以及实施的路径三个方面进行分析。从角色方面看，Y公司是国有独资公司，党委会发挥了把方向、管大局、促落实的领导作用，因此党组织扮演了领导角色。从维度方面看，党组织从嵌入、融入、渗入三个维度参与公司治理。从路径方面看，梳理“六位一体”模式，包括两个保障、四种作用、一个共同目标。组织保障和制度保障是党组织发挥作用的前提和基础，先建立合理的公司治理架构，并将党组织参与公司治理的机制通过制度固化下来。其次，党组织参与公司治理主要从四个方面切入，分别是参与决策、实施监督、员工管理、政治引领。这四方面聚焦于一个共同目标，即促进企业实现经济效益和长远发展。这一模式也为其他国有企业提供借鉴。
英文摘要：	In recent years, policies concerning the combination of party leadership and corporate governance in state-owned enterprises have been promulgated frequently, ranging from the "Guiding Opinions on Deepening the Reform of State-owned Enterprises" to the "Guiding Opinions on Further Improving the Corporate Governance Structure of State-owned Enterprises" by the General Office of the State Council. In the "Trial Regulation on the Work at Primary-level Party Organizations of State-owned Enterprises", it is pointed out that state-owned enterprises should insist on the unity of strengthening party leadership and improving corporate governance, integrating party leadership into all aspects of corporate governance, and integrating party building into production and management. Participation of party organization in corporate governance is an issue that has to be faced for Chinese enterprises, especially state-owned enterprises. In state-owned enterprises, the participation of party organization has enriched the member of corporate governance and changed the logic, structure and process of corporate governance. This article takes the wholly state-owned Company Y as the research object. Through summing up experiences and problems, this article conducts research on the mechanism of party organization participating in corporate governance. The party organization studied in this article mainly refers to the company's party committee (party group), but also includes the company's party organizations at all levels. Company Y is an automobile manufacturer and has carried out a series of explorations in the practice of party organization participating in corporate governance, including revising the party committee meeting rules and systems, clarifying the beforehand discussion procedures of the party committee, etc.. These help to strengthen the ability to deal with risks, improve the ability to promote both economic and social benefits, short-term and long-term benefits. This article analyzes the problems existing in the corporate governance structure, system construction, decision-making, supervision and other aspects of party organization of Company Y in the practice of participating in corporate governance. Put forward countermeasures and suggestions in response to the problem, including clarifying the role of party organization in the corporate governance structure, strengthening system linkage, strictly implementing the party committee's beforehand discussion right, and promoting the transformation of single supervision to comprehensive supervision, etc.. This article studies the mechanism of party organization participating in corporate governance in Company Y，by analyzing the roles of party organization, the dimensions of participation, and the path of implementation. From the perspective of roles, Company Y is a wholly state-owned company, the party committee has played a leading role in guiding the direction, managing the overall situation, and promoting implementation, so the party organization has played a leading role. From the perspective of dimensions, the party organization of Company Y participates in corporate governance from the three dimensions of embedding, integration and infiltration. From the perspective of path, this article sort out the "six in one" model which includes two guarantees, four functions, and a common goal. Organizational guarantee and institutional guarantee are the prerequisites and foundations for party organization to work. First, establish a reasonable corporate governance structure, and clarify the party organization's participation in corporate governance through the system. Secondly, party organization participates in corporate governance mainly by playing four functions: participation in decision-making, implementation of supervision, management of employee, and politically leading. These four functions focus on a common goal, which is to promote the realization of economic benefits and long-term development of Company Y. This model not only provides a path for party organization to participate in corporate governance in Company Y, but also provides a reference for other state-owned enterprises.
