中文摘要：	多种所有制经济共同发展是实现党的十八大提出全面深化改革的重要举措，是推进国有经济改革的主要方式。让公有与非公有这两种资本的适度混合，可以帮助实现国有企业法人治理在结构上的优化。本文就是基于上述背景，运用公司治理相关的理论，通过文献、财务指标分析和SWOT分析对天津HX公司的情况进行了研究和分析，并对其进行混合所有制改革的路径进行了设计。 本文首先介绍了我国混合所有制改革从最初的基本概念发展到至今实际成熟操作的一个过程，概述了混合所有制改革的核心就在于它对法人治理结构起到了优化作用，总结论述了国有企业不得不进行改革的必要性，以及内部治理机制亟需更新的紧迫性，并把混合所有制改革过程中所涉及到的相关概念及理论阐述出来。接着对天津HX公司的基本情况和财务情况进行了分析，明确了天津HX公司的优势、劣势、机会和威胁，强调了天津HX公司进行混合所有制改革的必要性。随后有针对性的分析了HX公司解决存在问题的具体措施，并就下一步混合所有制改革的路径提出了建议。 本文的重点核心在于从HX公司的实际情况出发，从问题下手，“因地制宜”对其混改内容进行研究设计。根据公司存在的主要问题，依照国家各类文件的相关要求，以解决问题为导向，依法合规、有针对性地将此次混改的原则、目标以及思路描述出来，指出混改的关键在于引入优质且匹配的战略投资者，通过释放协同效应，实现优势与资源双互补。继而在这一观点基础之上，结合公司发展现状，采用增资扩股的方式，将部分股权稀释出来用以吸引外部战略投资者，再结合股权转让及员工持股计划，打破“一股独大”，建立合理的股权结构，推动现代化企业制度的建设以及法人治理结构的优化。 本文最后结合混改现状及个人研究，重申混改的关键性，对混改过程中需要注意的重点事项进行总结，再次强调党的领导的重要性，希望对同类型企业改革具有一定的参考借鉴意义。
英文摘要：	The common development of various ownerships is an important measure to realize the comprehensive deepening of the reform proposed at the 18th National Congress of the CPC, and is the main way to promote the reform of the state-owned economy. The proper mixing of the two kinds of capital, public and non-public, can help optimize the structure of the governance of state-owned enterprises. Based on the above background, this paper studies and analyzes the situation of Tianjin HX Company through literature, financial index analysis and SWOT analysis by using theories related to corporate governance, and designs the path of its mixed ownership reform. This paper first introduces the mixed ownership reform in our country since the basic concept of the initial development to the actual operation of a mature process, summarizes the core of mixed ownership reform lies in it to optimize the role in the corporate governance structure, summarizes this paper expounds the necessity of reform of state-owned enterprises have to, as well as the urgency of the internal governance mechanism needs to be updated, and involved in the process of the mixed ownership reform related concepts and theory. Then it analyzes the basic situation and financial situation of Tianjin HX Company, clarifies the advantages, disadvantages, opportunities and threats of Tianjin HX Company, and clarifies the necessity of carrying out mixed ownership reform of Tianjin HX Company. Then it analyzes the specific measures taken by HX Company to solve the existing problems and puts forward suggestions on the path of the mixed ownership reform in the next step. The core of this paper is to start from the actual situation of HX Company, start from the problem, and "adapt measures to local conditions" to study and design its mixed reform content. According to the main problems of the company, in accordance with the national all kinds of requirements of the relevant documents, to solve the problem as the guidance, in accordance with the law of compliance, targeted to the mix changes described the principles, goals and ideas, mixed change pointed out that the key lies in the introduction of strategic investors, high quality and matching by releasing synergies, realize the two complementary advantages and resources. Then based on this view, combined with the company development present situation, with the method of increase endowment spread, stake will be diluted to attract outside strategic investors, coupled with equity transfer and employee stock ownership plan, break "a dominant", to establish a reasonable equity structure, promote the construction of the modern enterprise system and corporate governance structure optimization. In the end, combining with the current situation of the mixed reform and personal research, this paper reiterates the importance of the mixed reform, summarizes the key matters that need to be paid attention to in the process of the mixed reform, and again emphasizes the importance of the leadership of the Party, hoping to provide a certain reference for the reform of similar types of enterprises.
