中文摘要:民营企业创始人经历多年的艰苦创业,大部分公司的股份仍然集中封闭在创始人手中,没有实现企业所有权和控制权的分离,严重制约了企业的可持续发展,如何实现两权分离,并解决因此产生的委托-代理问题,是民营企业公司治理的关键。 本文采用案例研究法,选择非上市民营工程咨询企业FY公司的治理改进为研究对象,从分析FY公司的治理现状和治理问题入手,以现代公司治理中的产权理论、两权分离理论、委托-代理理论和股权激励理论为基础,最终提出FY公司治理改进建议和保障措施。本文主要分为绪论、基本概念与相关理论、FY公司治理改进动因和治理现状、FY公司治理问题分析、FY公司治理改进建议和FY公司治理改进的保障措施六个部分。 论文第一部分为本文绪论,提出本文要研究的问题,介绍研究的背景,明确论文研究的内容和所用的研究方法,说明了论文研究的目的和意义。第二部分提出了公司治理相关概念和理论观点,为本文研究提供理论支持。第三部分阐述了FY公司治理改进动因和治理现状,总结FY公司22年发展历程,分析当前内外部治理环境、治理现状及其独特性。第四部分分析了FY公司治理问题,主要表现为股权结构不利于公司持续发展、董事会流于形式、管理层激励失效等几个方面。第五部分提出了FY公司治理改进的建议,主要从治理结构改进和治理机制改进两层面进行研究。第六部分提出了FY公司治理改进的保障措施,从组织保障、机制保障、文化保障三个方面提出了具体措施。最后是文章结论与启示,总结了本文的主要内容及其论文的启示和局限性。 本文试图通过以上论述,对FY公司现有治理问题的改进研究,为构建FY公司相对健全的、有效的治理结构和治理机制提出相关建议和保障措施,使FY公司能在未来市场竞争中建立优势,实现健康持续发展。 
英文摘要:The founders of private enterprises have gone through years of hard work. Most of the company’s equity are still concentrated in the hands of the founders, and the separation of corporate ownership and control has not been achieved. This has severely restricted the sustainable development of the company. How to achieve the separation of the two rights and solve the resulting principal-agent problem is the key to the corporate governance of private enterprises. This thesis adopts the case study method and chooses the governance improvement of FY company, a private engineering consulting company, as the research object. Starting from the analysis of the governance status and governance issues of FY company, it uses the property right theory, the theory of separation of two rights and the principal-agent in modern corporate governance. Based on theories and equity incentive theory, finally propose FY corporate governance improvement suggestions and safeguard measures. This thesis is mainly divided into six parts: introduction, basic concepts and related theories, FY company governance improvement motivation and governance status, analysis of FY governance issues, FY governance improvement suggestions, and FY governance improvement measures. At first,the introduction part covers the background, content, method, purpose and significance of the study. Chapter 2 is a summary of the concept,basic theory and theoretical viewpoints of corporate governance. The third part expounds the governance improvement motivation and governance status of FY company, summarizes the development course of FY company in 22 years, analyzes the current internal and external governance environment and the status quo and its uniqueness. The fourth chapter analyzes the governance problems of FY company, which are mainly manifested in several aspects such as the equity structure is not conducive to the company's sustainable development, the board of directors is a formality, and the management incentives are invalid. The fifth chapter proposes suggestions on the improvement, mainly from the two aspects of improvement on structure and mechanism. The sixth chapter proposes the guarantee measures for the improvement of FY corporate governance, and proposes specific measures from three aspects: organizational, mechanism, and cultural guarantee. Finally, it is the conclusion and inspiration of the thesis, summarizing the main content of this thesis and its enlightenment and limitations. This thesis attempts to use the above discussion to improve the research on the existing governance problems of FY company, and propose relevant suggestions and safeguard measures for building a relatively sound and effective governance structure and governance mechanism for FY company, so that FY company can establish advantages in future market competition.
