| 中文摘要: | 随着我国改革开放不断深入,企业集团无论是在数量上还是质量上都已经成为我国经济成长的主要推动力。虽然我国的企业集团都建立了各具特点的母子公司管控体系,但也存在着诸多的问题。带有一定行政管控色彩的管控模式在各企业集团中都有一定程度的体现。这种管控手段在带来了强大执行能力的同时,侵害了子公司的独立法人地位和经营的自主性。本研究以大型多元化民营企业集团H集团公司为个例,对其母子公司管控模式进行研究,对其根据不同子公司在集团战略中所处地位选取适合的管控模式具有一定实践指导意义。 本研究共包括以下三个主要部分,第一部分为绪论和理论研究部分,第二部分包括三个主要章节,是研究的核心内容,分别是H集团公司管控模式的特点与存在的问题、H集团公司管控模式优化分析和H集团公司管控模式优化的保障措施。首先对H集团公司的概况、集团管控的主要特点、主要手段和主要工具进行研究,分析目前管控模式中存在的主要问题。其次是根据H集团公司的多元化战略层次,将管控目标,即确保集团战略的贯彻实施,提升集团的整体盈利能力和确保集团对子公司的控制作为出发点和落脚点,对子公司进行分类,设计出符合不同子公司需要的管控模式实施方案。最后在管控模式优化的基础上设计保障措施,确保集团总部的控制权和管控的落地实施。第三部分为结论部分,阐述研究结论,不足之处和研究的未来展望。通过研究,H集团公司的多元化战略层次应为以航空运输业为主的主导业务型多元化,现有单一的行政管理型管控模式存在着相当的问题。应根据H集团公司管控目标,对从事主导业务和非主导业务的子公司采取不同的管控策略,分别包括行政管理型和自主管理型两种模式。同时,设计母公司对子公司的配套控制和监督机制,确保在管控得当的同时激发子公司的自主性。 本研究的创新点在于对一直以来采取单一管控模式的H集团公司,提出了根据子公司战略地位进行分类管控的简易模型,具有一定的理论可行性,也对其他类似的大型多元化企业集团有一定的借鉴意义。 | |
| 英文摘要: | With the rapid development of Economic Reform and open up, enterprise groups have become the mainly driving force of China economic. Chinese enterprise groups have built their characteristic parent - subsidiary company control system. This administration type control system not only have powerful implementation capacity but also hurt the independent legal person status and autonomy of subsidiary. The research chooses H Group which is a large diversified private enterprise group as a case, and study its parent - subsidiary company control mode to help the selection of the subsidiary control mode according to the position in group strategy. This assay can be divided into 3 parts. The first part includes the introduction and theory overview. The second part is the core content of this assay including 3 chapters as follow, brief analysis of H group control mode, optimization programs of control mode and safeguard measures of optimization program. We study H Group’s general situation, control characteristics, control measures and tools, and analyze the problems at first. And then, we design control modes which fit the needs of different types of subsidiary according to diversified level and control goal of H Group. At last, we design some safeguard measures on the basis of optimized control mode to ensure the control power of parent company and implementation of control. The third part is the conclusion, which includes the conclusion, deficiency and outlook in the future. The study found that the diversified level of H Group is a subsidiary mainly on aviation industry. H Group should adopt different control mode on different industry subsidiaries. Meantime, it’s necessary to build a control and supervision system to ensure the control of parent company and the motivation of subsidiary autonomy. The innovation of this assay is to put forward a simple model of classified management and control according to the strategic position of subsidiaries for H group. | |
