中文摘要:摘 要 随着我国社会主义市场经济体制的不断完善,越来越多的企业在参与市场竞争的过程中快速成长,其经营逐渐呈现出跨地域、跨行业、国际化等特征。此时,为了有效隔离风险、适应本地化等要求,这些企业往往倾向于组建以母子公司关系为核心的企业集团。而伴随着企业集团的出现和发展,如何有效管控各级子公司,如何有效发挥企业集团相比于单体公司的优势以及如何用合理的投入保证各类风险得到有效控制就成为企业集团必须要解决的重要问题。 本论文选取了集团管控问题比较突出的汽车行业中的H公司作为研究对象,结合H公司的集团管控现状,对其集团管控中存在的问题、成因、解决方案和实施方案展开研究。本论文首先介绍了集团管控的相关理论和主张,并提炼出相关理论的发展趋势及先进经验。随后,本论文对H公司所处的内外部环境展开分析,并在系统总结H公司的集团管控的现状和和其管控需求的基础上,分别使用调查问卷法、访谈法和典型案例对照法,识别和总结出H公司集团管控中存在的一系列缺陷,并在分类和合并基础上归纳为4个核心问题,即战略管理不足、基础资源和能力缺陷、缺少内部控制体系和海外子公司问题。 为了有效解决上述核心问题,本论文在对上述核心问题做出分析和评价的前提下,有针对性的提出了相应的优化方案,即建设战略中心型组织、价值型总部、内部控制体系和利用专业委员会上收海外子公司的决策权。同时,本论文提出了具体的实施计划和配套保障措施,旨在使H公司集团管控优化方案得以落地,服务于H公司加强集团管控要求并不断提升H公司的核心竞争力和可持续发展能力。 H公司集团管控优化方案是其在应对汽车行业技术升级、行业竞争加剧背景下,结合自身企业特点,为实现其自身战略目标和愿景所做出的必然选择。本论希望通过对H公司集团管控的问题、成因进行分析,以及解决方案和实施方案进行设计,为其他具有相似背景的企业集团提供有益的借鉴和参考。 关键词:集团管控;价值型总部;战略中心型组织。 
英文摘要:Abstract With the constant perfection of our country’s socialist market economy system, there are more and more enterprises growing rapidly within the course of market competition, which business gradually showing characters such as cross-region, cross-industry and cross-border, etc. On this occasion, for the purposes of risks prevention, fitness for localization and other requirements, those enterprises incline to set up enterprise groups with the parent-subsidiary relations as their core character. Since the appearance and development of enterprise groups, it’s been a critical problem for enterprise groups to effectively control subsidiaries, to make the best use of enterprise groups’ advantages over signal companies and to manage and control various risks with reasonable cost. This dissertation chooses H in automotive industry that shows classical group control problems as the subject matter, and on ground of H’s current group control facts, conducts research on the problems, reasons, solutions and implementation plan hereof. This dissertation firstly introduces related theory and practical opinions, and summarizes developing tendency and advanced experience. Following, this dissertation analyses H’s internal and external environment, its position and developing requirements. With consideration of conclusion of H’s current group control facts and its strategic position, this dissertation comprehensively uses questionnaire, interview, classical precedent comparison to find out a series of problems within H’s group control. Subsequently, all the problems are summarized and concluded as 4 core problems, which are weakness of strategy management, basic resources and capabilities shortage, lack of internal control system and oversea subsidiaries’ problem. In order to solve above-mentioned core problems, this dissertation analyzes and appraises those core problems and provides targeted solutions, which are establishment of value-created headquarter, and strategy-focused organization, establishment of internal control system and upgrades of oversea subsidiaries’ major authorization through board of directors or supervision board’s professional committee. Meanwhile for the successful implementation, this dissertation provides and designs a specific implementation plan and related resources and guarantee measures, in service of the enhancing of H’s group control ability and assurance of its core competence and sustainable developing capacity. The optimization solution hereof is H’s inevitable option under the background of technology upgrades and severe competition within automotive industry and H’s own position to realize its strategic objectives and visions. This dissertation also hopes to provide helpful information and reference for other enterprise groups with similar background and strategy.
