中文摘要：	国有企业是我国国民经济的支柱，掌握着国民经济的命脉，也是中国共产党执政兴国的物质基础。党的领导与党的建设，始终是国有企业的不变的主题。国有企业的特殊性质和特殊地位决定了党组织在国有企业公司治理中发挥着不可替代的作用。 随着国有企业的改革已从顶层设计阶段延展到具体实施阶段，众多疑难复杂问题日益显现，党在国有企业中领导作用的有效发挥是破解国有企业改革难题的重要基础。围绕全面从严治党新要求，国有企业党组织在参与公司治理方面不断探索，把党的领导作用贯穿于决策、监督、执行全过程，在创新党的领导与公司治理融合的途径和方式上取得了积极进展，但实践中仍面临不少矛盾和问题。 本文以党组织参与公司治理为研究方向，运用案例研究的方法，围绕C中央企业全资T公司的实践，从党建和经济管理相融合的角度，对T公司党组织参与公司治理进行深入研究，通过分析其存在的各个治理主体权责边界需要进一步明确、“双向进入、交叉任职”领导体系不完善、国有企业内部监督制衡作用发挥不到位、党组织利益协调者作用发挥不到位等问题，对如何进一步完善党对T公司治理结构，促进党组织更为有效地参与公司治理，从顶层设计、决策机制、激励机制、监督机制等4个方面提出具体的完善建议。最终希望通过这些措施的改进，把党的领导融入T公司治理各环节，把党组织内嵌T公司治理结构中，发挥好党组织“把方向、管大局、保落实”作用，处理好党委和董事会、监事会、经理层等治理主体的关系，努力形成各司其职、各负其责、协调运转、有效制衡的公司治理结构，使党的建设与企业发展“揉”在一起，持续提升T公司党组织参与公司治理的能力，推动T公司实现高质量发展。
英文摘要：	State-owned enterprises (SOEs) are backbone and lifeblood of China's national economy, and the material foundation for the CPC to govern and rejuvenate the country. The Party's leadership and building are invariable theme of them. Their specialty makes the Party organizations play an irreplaceable role in corporate governance. As the reform of SOEs has been extended from the top-level design to concrete implementation, many complex problems have emerging, which makes Party's leading role in SOEs an important basis in solving these difficult problems.Surrounding the new requirements for exercising full and rigorous self-discipline in the Party, the SOEs have continuously explored ways of Party organizations participating in corporate governance, in which exercising the Party's leadership run through the whole process of decision-making, supervision and execution. Thus, positive progress has been made through innovation in ways and means of the integration of Party leadership and corporate governance, but there still faces many contradictions and problems in practice. Taking participation of Party organizations in corporate governance as the research direction, using case study as the method, focusing on the practice of wholly-owned T company of C central enterprise, the paper conducts an in-depth study on the participation of the Party organization in corporate governance of T Company from perspective of the integration of Party construction and economic management. Through analyzing issues such as the boundary of power and responsibility of each governing body needs to be further clarified, the “cross-leadership system” is not that perfect, the internal supervision and balance in state-owned enterprises haven’t worked well, and the Party organizations have not worked properly in coordinating interests, the paper put forward four suggestions on aspects of top design, decision-making mechanism, incentive mechanism, and supervision mechanism, so to improve corporate governance structure of T company under the leadership of the Party, thus promoting the Party organizations to participate in corporate governance more effectively. Hope that through these improvement, the Party's leadership can better integrate into links of corporate governance in T company, and the Party organization embedded in its corporate governance structure and give full play to the role of Party organizations in “steering the party, managing the overall situation and ensuring implementation”; and the Party committee deal with good relationship with governing bodies, such as board of directors, board of supervisors and managers, so as to form a corporate governance structure with each party performs its own duties and responsibilities, coordinates well, and effectively checks and balances; kneading the Party with enterprise development, and improving the ability of T company's Party organization in corporate governance, thus achieving high-quality development.
