中文摘要:跨境电商行业作为我国对外贸易重要的增长点,具有广阔前景,跨境电商物流作为行业关键组成部分,其参与主体依旧存在“散、小、乱、差”的分布格局,资源配置不尽合理。企业并购作为企业尤其是物流企业发挥规模优势降低交易成本的重要手段,在诸多案例中显示出资源整合的优势,对跨境电商物流企业的资源整合与发展具有十分重案要的意义,也是行业参与者所重点关注的问题。 本文研究对象为HY跨境电商物流公司,文章分析行业发展历程,综合回顾了关于跨境电商物流、供应链以及企业并购有关理论,进而具体的研究HY跨境电商物流公司并购策略的有关问题。通过PSET分析、波特五力分析以及SWOT分析,发现HY公司在产业持续发展的行业下,已经初步打造出自身产品的核心竞争力,成功实现了三大业务支柱互相支撑的业务局面,享有区域先发优势和一定程度的品牌优势。认为HY公司应采并购策略扩展规模和市场。该策略基于HY公司应将“口岸复制模式输出”及“延伸物流供应链”作为并购目标,顺应跨境电商发展趋势,强化自身竞争能力,抢抓市场及政策窗口,卡位跨境电商物流市场,从单一口岸向多口岸扩张的模式复制实现“走出去”并延伸物流链条,整合并购线路资源及海外仓资源,以构成点线结合的口岸网络。在完成物流资源的整合并形成核心竞争优势的情况下,考虑通过进行技术布局和跨境电商供应链进行战略布局。 最后,为确保并购策略得以顺利实施,文章给出了并购方案的流程安排,分析了并购实施的方式,同时指出需从公司治理层面,高级管理层面以及职能层对公司并购自上而下的进行资源支撑和制度体系建设,完善公司的并购业务治理水平和管理规范,以及管理层面的资源保障,并且通过全面风险管理框架,指出HY公司在并购各个阶段中可能出现的各类风险点以及可能的解决措施,为HY公司等中小型跨境电商物流参与者顺利完成并购活动,提供了相应的参考。  
英文摘要:Cross-border logistics has an irreplaceable siginificant role for the market, which has a "scattered, small, chaotic, and poor" distribution pattern, and resource allocation is unreasonable. Mergers and acquisitions have shown the advantages of resource integration issues that industry participants are focusing on. This paper takes HY logistics company as the main research object, specifically studies the related issues of HY logistics company merger strategy. Using research ideas from macro to micro, HY has initially created its own core competitiveness of cross-border e-commerce logistics products, and has successfully realized the business situation where the three business pillars support each other, and enjoy the regional initiative advantages and a certain degree of brand advantage. HY company should adopt a variety of methods to carry out merger and acquisition strategy. The strategy is based on the fact that HY company should take "model output" and "supply chain extension" as the targets of mergers and acquisitions, conform to the development trend of cross-border e-commerce, strengthen its own competitiveness, seize the market and policy windows, and position the cross-border e-commerce logistics market. The model of expansion from a single port to multiple ports is replicated to achieve "going out" and extend the logistics chain, integrate merger and acquisition line resources and overseas warehouse resources to form a point-line combined port network, and give the process arrangement, implementation and implementation of the merger plan Integration measures.Finally, in order to ensure the smooth implementation of the M&A strategy, this paper points out that it is necessary to carry out resource support and cultural and institutional construction of the company’s mergers and acquisitions from the top-down level of corporate governance, senior management, and functional levels to form a compliant and efficient M&A system. Improve the company's M&A business governance and management standards. And through the enterprise risk management framework, this paper points out the various risk points and possible solutions that HY companies may appear in various stages of mergers and acquisitions from the three aspects of risk assessment, control activities, and control supervision. Participants in commercial logistics have successfully completed mergers and acquisitions and provided corresponding references.
