| 中文摘要: | 随着我国经济的发展,越来越多的企业通过并购的方式。加快自身的扩张以及产业链的完善。2013年,国家工信部发布《关于加快推进重点行业企业兼并重组的指导意见》,给企业通过并购实现产业结构优化、提升产业集中度,促进规模经济的现实以及提高市场竞争力提供了指引。 本文的研究是在暴风科技的经营管理及中国并购大潮背景下展开的,目的是研究适合中国创新型/轻资产/民营企业并购风险识别与控制的方式方法,力图重构暴风科技并购MPS风险评估模型。结合现实案例,最终总结出适合暴风科技并购过程中的风险识别与风险控制的风险管理方案,为这类企业的并购提供理论和实践依据,帮助企业提高风险管理水平,实现并购的战略目标。 通过收集整理国内外理论知识,如本文研究所使用的理论依据、已有研究脉络和成果介绍相关风险管理理论、风险识别分析方法、风险管理流程、风险管理与绩效的关系和风险控制措施等,为本文的研究奠定理论基础。 通过分析暴风科技收购MPS案例过程的前、中、后三个阶段的风险识别和控制方法,对本案例并购过程中的主要风险因素进行阐述,构建暴风科技并购顶目风险评估体系。并基于评估体系,采用层次分析法进行风险度量,并提出防范并购风险的建议与方案。 通过对案例的过程梳理剖析及关键风险点的识别与评估,研究对应的风险控制措施,重塑并购流程及风险控制手段,建立有效的企业风险管理体系,提高风险防范和管控的水平,提高企业并购项目的成功率。 企业并购是一项长期而又复杂的活动,涉及多个方面的风险,企业需要在项目的不同阶段做好充足的准备工作,充份识别风险,做好风险控制方案,规避重大风险,保证并购的成功以及并购后的正常经营发展。在并购活动结束后,要做好整合工作,整合企业文化、人力资源、财务等,将并购主体有机地融合在一起,真正实现并购目标。 | |
| 英文摘要: | With the development of China's economy, more and more enterprises adopt the way of M & A. Speed up their own expansion and improve the industrial chain. In 2013, the Ministry of industry and information technology of the people's Republic of China issued the guiding opinions on accelerating the merger and reorganization of enterprises in key industries, which provides guidance for enterprises to optimize industrial structure, enhance industrial concentration, promote scale economy and improve market competitiveness. The purpose of this paper is to study the risk identification and control methods suitable for China's innovative / light assets / private enterprises, and try to reconstruct the MPS risk assessment model of Fengfeng technology M & A. Combined with practical cases, this paper summarizes the risk management scheme suitable for risk identification and risk control in the process of windstorm technology M & A, which provides theoretical and practical basis for such enterprises'm & A, helps enterprises improve their risk management level and realize their strategic objectives By collecting and sorting out the theoretical knowledge at home and abroad, such as the theoretical basis used in this study, the existing research context and results, the paper introduces the relevant risk management theory, risk identification and analysis methods, risk management process, the relationship between risk management and performance, and risk control measures. By analyzing the risk identification and control methods in the three stages of the acquisition of MPS by Fengfeng technology, this paper expounds the main risk factors in the process of M & A of this case, and constructs the top risk assessment system of Fengfeng technology M & A. Based on the evaluation system, this paper uses AHP to measure the risk, and puts forward suggestions and schemes to prevent the risk of M & A. Through the analysis of the case process and the identification and evaluation of key risk points, this paper studies the corresponding risk control measures, reshapes the merger process and risk control means, establishes an effective enterprise risk management system, improves the level of risk prevention and control, and improves the success rate of enterprise merger and acquisition projects. Enterprise merger and acquisition is a long-term and complex activity, involving many risks. Enterprises need to make adequate preparations at different stages of the project, fully identify risks, make risk control plans, avoid major risks, ensure the success of M & A and the normal operation and development after M & A. After the completion of M & A activities, we should do a good job of integration, integrate corporate culture, human resources, finance, etc., organically integrate the main body of M & A, and truly achieve the goal of M & A | |
