中文摘要:中国经济自改革开放已经走过了40年有余,国有企业改革也经历了放权让利、承包制、股份制改革到后来的混合所有制改革。当下正在进行的国有企业混合所有制改革取得了很大的成就,企业效率与活力也得到了较大的改善与提升,国有资产阶段性的实现了较大程度的保值增值。随着改革的推进,混改的重点将由“混”向“改”实质性转变,以深度转化经营机制为主线;着重微观企业的主体活力。中国经济转型过程中,可持续性绿色发展成为未来的方向,环保产业进入了黄金发展期。在此巨大的机遇阶段,混合所有制也成为助力产业发展的重要模式。 混合所有制改革的核心是公司治理机制的建立与完善,本文通过对中国公司治理发展阶段和转型的描述,可以得出中国的公司治理在由行政型向经济型转变过程中的脉络与轨迹;加之对混合所有制改革文献的梳理,得出改革发展的路径、存在的问题及取得的成效;为文章中的案例分析提供较为充分的理论依据。此文以混合所有制改革较为成功的A环保公司作为案例,通过对公司混改时所处的行业发展阶段、发展现状以及改革背景的描述,分析其进行混合所有制改革的可行性;针对其具体的改革方案的设计、混改的具体过程、改革前后的公司治理变化等进行较为详细的解析,与行业中其他参与改革企业的总结实践相结合,得出环保行业常规的改革路径,为后续行业混合所有制改革提供一定经验启示与借鉴。 综上所述,本研究发现在混合所有制改革深化过程中,重点需要在政策及落实方面加以细化与引导。第一,需要对国有企业定位更加清晰,深化国有企业功能分类改革,通过商业模式的创新打破原有的部分垄断领域和环节,从而更好的引入竞争机制。第二,在从“管资产”到“管资本”的转变中,以产权关系为纽带,依法通过公司章程和公司治理机制行使出资人职责,充分发挥市场的作用;大力发展资本市场,通过资本市场实现国有企业的公司制改造,实现产权的流动。第三,为防止国有资产流失,需从明晰产权关系、强化资产评估、市场化的国有股权定价机制,国企股权资产评估流程及信息披露机制以及强化惩戒与监管机制几个方面来完善。第四,优化营商环境,消除体制性障碍与社会歧视,建立公平有序统一的市场体系;简政放权,减少审批事项,消除地方保护。  
英文摘要:As we mark the 40th anniversary of reform and opening-up in China, the state-owned enterprise reform also undergoes the reform on decentralization of power and transfer of profits, contract responsibility system, joint-stock system and mixed ownership. The present state-owned enterprises reform has produced great achievements, the efficacy and vitality of the state-owned enterprises haven been greatly improved, while the value of state-owned asset has been preserved and increased to a large measure in a phased manner. With the advancement of reform, the focus of the mixed ownership reform will change from "capital mixing" to "mechanism reform", with deep transformation of operating mechanism as the main line, and focusing on the vitality of micro-enterprises. In the process of economic transformation in China, sustainable green development has become the future direction, and the environmental protection industry has entered a golden period of development. At this stage with great opportunity, mixed ownership has also become an important model to help industrial development. The core of the mixed ownership reform is the establishment and improvement of corporate governance mechanism. Through the description in this thesis of the development stage and transformation of corporate governance in China, we can draw the context and track of the transformation of corporate governance in China from administrative to economic; and obtain the path of reform and development, existing problems and achievements combined with combing the literature of the mixed ownership reform, which provide sufficient theoretical basis for the case analysis in this thesis. In this thesis, with Environmental Protection Company A which has a successful mixed ownership reform as an example, the feasibility of its mixed ownership reform is analyzed by describing the industry development stage, development status and reform background in the mixed ownership reform; the specific reform plan design, the specific process of the mixed ownership reform, and the changes of corporate governance before and after the reform are analyzed in detail; and the conventional reform path of the environmental protection industry is finally obtained combined with the summary practice of other enterprises participating in the reform of the industry, which provides some experience enlightenment and reference for the follow-up mixed ownership reform in the industry. In summary, it can be found that in this study, we need to focus on the refinement and guidance in terms of the policy and implementation in the process of deepening the mixed ownership reform. First, we need to have a clearer positioning for state-owned enterprises, deepen the functional classification reform of state-owned enterprises, and break through some of the original monopoly areas and links through the innovation of business models, so as to better introduce the competition mechanism. Second, in the transition from "managing assets" to "managing capital", we need to take the relationship of property right as a link, exercise the responsibilities of investors through the articles of association and corporate governance mechanism according to law, and give full play to the role of the market; vigorously develop the capital market, realize the corporate system reform of state-owned enterprises through the capital market, and realize the flow of property right. Third, in order to prevent the loss of state-owned assets, we need to further clarify the relationship of property right, strengthen the asset evaluation, market-oriented state-owned equity pricing mechanism, equity asset evaluation process of state-owned enterprises and information disclosure mechanism, and reinforce the disciplinary and regulatory mechanisms. Fourth, we need to optimize the business environment, eliminate institutional barriers and social discrimination, and establish a fair, orderly and unified market system; streamline administration and delegate more power, reduce examination and approval items, and eliminate the local protection.
