中文摘要: | 当前外部经济形势与环境不佳,国内经济压力增大,国有企业的经营成本持续上升,管理水平有待提高、体制机制固化、企业核心竞争力不强等问题制约着国有企业实现高质量发展的目标,促进国有企业经营机制转换,实现国有资本保值增值,提升国有资本功能及其竞争力,促进各类所有制经济共同发展和整体经济结构优化成为国有企业混合所有制改革的基本目标。 国有企业混合所有制改革是国有资本与非公有资本等共同持股、相互融合的混合所有制经济,是中国经济制度中的一种非常重要实现方式。国有企业混合所有制改革通过引入集体资本、非公有资本、外资等各类社会资本,实现企业产权的多元化,进而健全和完善企业治理体制和经营管理机制,不断增强企业活力和竞争力。 本文首先介绍了国有企业混合所有制改革的背景,通过分析中国联通、东航物流等国有企业混合所有制改革的成功案例,同时提出我国国有企业如何通过混合所有制改革改变企业现状加快推进企业发展等问题,总结出地方政府在国有企业混合所有制改革的经验点。 同时,本文通过分析GX公司的现阶段经营情况和公司发展战略,提出公司的整体实力不足、经营情况不佳、治理结构治理机制不健全、激励机制有待完善和工作效率较低等问题,进而提出GX公司从优化股权结构、完善公司治理结构和公司治理机制等方面进行混合所有制改革的方案并根据方案提出组织机构、制度流程、文化融合和风险防控等有效的保障措施。 通过对GX公司混合所有制改革的研究,可以为GX公司提供明确混合所有制改革方案,为其出现的问题提供有效的解决措施,对于GX公司加速完成混合所有制改革落地,促进公司的持续发展具有一定的借鉴意义。 | |
英文摘要: | At present, the external economic situation and environment are not good, the domestic economic pressure is increasing, the operating cost of state-owned enterprises continues to rise, the management level needs to be improved, the system and mechanism are solidified, the core competitiveness of enterprises is not strong and other problems restrict the state-owned enterprises to achieve the goal of high-quality development, promote the transformation of the operating mechanism of state-owned enterprises, realize the maintenance and appreciation of state-owned capital, and improve the function and competition of state-owned capital To strive for strength and promote the common development of all kinds of ownership economy and the optimization of the overall economic structure has become the basic goal of the mixed ownership reform of state-owned enterprises. The reform of mixed ownership of state-owned enterprises is a mixed ownership economy in which state-owned capital and non-public capital hold shares and integrate with each other. It is a very important way to realize it in China's economic system. Through the introduction of collective capital, non-public capital, foreign capital and other kinds of social capital, the reform of mixed ownership of state-owned enterprises realizes the diversification of enterprise property rights, and then improves and improves the enterprise governance system and management mechanism, and continuously enhances the vitality and competitiveness of enterprises.
