| 中文摘要: | 代际传承是关系到家族企业持续发展、乃至生死存亡的问题,“富不过三代”的魔咒似乎一直是家族企业的达摩克利斯之剑。随着我国家族企业迎来由第一代换班到第二代的高峰时期,家族企业的传承问题日益成为经济界学者们关注的热点。而我国大量家族企业的存在与持续发展的要求,也迫切需要理论与实践经验上的指导。 本文选择家族企业的代际传承模式作为研究对象,是考虑到目前我国众多家族企业代际传承过程中所面临的实际问题而做出的选题规划。通过对比并借鉴欧美、日本等国家的家族企业不同历史经济背景下代际传承过程中的理论与经验,结合我国家族企业传承过程中较为成功的案例,研究并摸索出一套适合我国家族企业代际传承的理论。 本文首先简单阐述了课题研究的背景和意义、研究内容、研究方法和思路以及本文的结构,理论综述部分主要介绍了家族企业的定义、类型和家族企业的基本特点,家族企业传承的界定和目前的研究现状,分析了国内外家族企业传承的各种模式;随后介绍了JQ公司的发展背景和运营特点,JQ公司目前传承中面对的问题及借鉴国内外家族企业传承经验的分析,JQ公司传承设想;最后根据JQ公司传承的设想,结合相关理论和经验设计了一套JQ公司的传承模式。传承模式中包括设立“非公募基金”的形式对JQ公司的资产进行传承、JQ公司经营权传承的方法和JQ公司企业家精神的传承操作三个部分。 本文的创新是,通过对家族企业进行股份制改造、成立投资公司和“非公募基金”、完善公司治理结构三个步骤,来完成家族企业的资产传承,同时满足了家族企业持有人的股本用于企业的发展、确保在企业的今后发展中、上述股份不被分解的要求,并通过规范的管理方式,使这部分股份得到有效的管理和科学的运作,实现企业传承、使之步向百年。第二,从资产的传承到经营权的传承、再到企业家精神的传承这一个链条,企业家精神传承与资产和经营权的传承是相辅相成的,是传承中的最高境界。企业家精神在前任与继任者之间的有效传递和承接,对于继任后企业持续发展的意义至关重要,继任者对企业家精神的继承、发扬和创新,是家族企业传承成功的关键。 | |
| 英文摘要: | As a key concern of family enterprises, succession between generations has a strong impact on their sustainable development and even survival. The curse The fortune rarely rejoice the third generation seems to hang a Sword of Damocles over family corporations. Today, as more and more founders of the Chinese private firms are passing their businesses to their heirs, the succession issue is becoming a hot topic for scholars in business circle. In China, where there are plenty of family companies, people need the theory and practical guidance to help their survival and development. The chief study object is the succession model, for the composer believes it may help solving the practical problems which may be questions for many family firms. The thesis refers to the research findings and practices of succession carried out by family firms from the US, Europe and Japan, in different historical and economical background, along with the fairly successful cases from Chinese experience. Thereafter a new set of succession theory, which is designed for Chinese entrepreneurs, presents itself. The paper start with the background and significance of the study, the research content and approach, as well as the structure of the paper. In the document review part, the author explains what family firms are. The classification rule and the basic feature of which are also stated. Then the focus shifts to the succession itself - the definition, the research review and the various patterns of succession. After that the author introduces JQ Group and its operation features. The main issues obsessed the entrepreneur are extracted to be totally analyzed with cases from both home and abroad. Then the general orientation and objective of the group are explained, based on which, a new succession model is put forward. Key point: 1) Non-Mutual Funds serves as the media for the succession of assets; 2) A procedure is advised for the management power handing-over; 3) A set of operation instruction is designed to ensure the entrepreneurship’s passing down. You’ll find these new ideas in the paper: 1) Complete the succession through a 3 - phases – plan(Shareholding reform, non-public fund, corporate governance structure reconstruction), At the same time, the plan guarantees that the family share will be exclusively be employed for the development of the firm and never be breakdown. A series of reasonable management practice prevents the abuse of the share and ensure the long lasting of family business. 2) A successful succession refers to the transmission of the asset, the management power and more important, the entrepreneurship. The transmission of the entrepreneurship between generations is a key factor to the enterprise development. | |
