中文摘要:企业集团是现代企业发展的趋势,企业集团的经营优势在金融行业体现得更加突出。在经历了国际金融危机之后,加快金融控股集团自身的体制机制建设、强化监管和风控,尽快打造一批资本充足、企业管控能力突出、在国内外市场上具有强大竞争力的金融控股集团是今后的重大课题。 本文针对金融控股集团对子公司有效管控问题,以A金融控股集团为例展开研究,试图为金融控股集团管控实践提供借鉴。本文系统回顾了企业集团管控、公司治理、组织理论与组织设计等相关理论,为论文展开奠定理论基础。 首先,论文在总结归纳A金融控股集团组织结构模式和管控体系特征基础上,对其在子公司管控中存在的问题进行剖析,揭示其管控中存在子公司短期行为缺乏核心竞争力、子公司员工流失率居高不下、子公司缺乏业务开拓积极性、子公司之间缺乏业务协同等四类问题;其次,从子公司战略、组织结构、激励体系三个层面剖析了管控问题的成因;最后,在上述分析的基础上,提出A金融控股集团管控优化的原则及集权化管控的目标,并从推进制度建设与组织建设、集团总部组织变革与完善、健全子公司考核激励体系等方面,阐述了集团管控优化的具体措施。 希望通过本文的研究,能够为A金融控股集团管控实践提供指导,为其克服管控缺陷、提升经营管理水平、提升市场竞争力做出贡献。同时,试图为同类型企业集团管控提供借鉴。 限于本人水平,论文还存在诸多不足之处,尤其在子公司董事、高管绩效评价方面尚需进一步深入探讨,这也是今后本人在工作学习过程中需要进一步努力的专业方面。 
英文摘要:Enterprise group is the trend of the development of modern enterprises, and the advantages of enterprise group are more prominent in the financial industry. After the international financial crisis, it is a major topic for financial holding groups to accelerate their institutional construction, strengthen supervision and risk control, and build a group of financial holding groups with sufficient capital, outstanding control ability and strong competitiveness in the domestic and foreign markets as soon as possible. Aiming at the problem of effective control over subsidiaries of financial holding group, this paper takes A financial holding group as an example to carry out research, in an attempt to provide reference for the control practice of financial holding group. This paper systematically reviews the management and control of enterprise groups, corporate governance, organizational theory and organizational design and other relevant theories, which lays a theoretical foundation for the development of this paper. At first, the paper sums up the organization structure model and control system characteristic of A group, and reveals the problems existing in the management and control of A Group Company are summarized into four aspects: the short-term behavior of the subsidiaries lack the core competitiveness, the employee turnover rate of the subsidiaries is high, the subsidiaries lack the enthusiasm of business development, there is no coordination between subsidiaries; Second, there are three reasons for the management and control problems of A group: subsidiary strategy, organizational structure and incentive system; Third, this paper puts forward the principles of A group's management and control optimization and the goal of centralized management and control, and proposes the following optimization strategies: promote the construction of system and organization, reform and improve the Group Headquarters, improve the evaluation and incentive system of subsidiaries. It is hoped that this paper can provide guidance for the management control practice of A group, help it overcome the management control defects, improve the management level and enhance the market competitiveness. Also, it can be used for the same type of enterprise groups. In addition, my view of the limited level, this paper there are many shortcomings and omissions, which requires further in-depth discussion on the performance evaluation of directors and senior executives of subsidiaries, in the future to learn and I will work to further improve and perfect.
