中文摘要：	随着我国资本市场的不断发展，私募基金这一行业应运而生，并且在中国的投资市场扮演着越来越重要的角色。作为企业直接融资的一种方式，股权投资对中国企业的健康发展起到了功不可没的作用。尤其是近些年，私募股权投资行业挖掘出了一大批优秀的初创企业，对资本的有效配置起到了重要作用。特别是在当今去杠杆的政策背景下，企业股权融资的需求越来越大，为私募股权投资行业的发展起到了积极作用。然而，随着行业的爆炸式增长，暴漏出了很多管理乱象。私募基金管理人被监管机构处罚、私募基金踩雷被迫清盘及被投资者维权的新闻屡见报端，暴漏出了很多中小私募基金管理人的管理能力，特别是风险控制能力的不足。 本文从私募股权基金募投管退四个环节中的投资和投后管理环节入手，深入分析案例基金在这两个环节中所承担的风险、案例基金的风险控制措施以及风险控制措施中出现的一系列问题。针对案例基金在投资及投后管理环节风险控制活动中出现的问题，本文作者总结出适合案例基金的风险控制优化措施，以改善案例基金的风险控制活动，降低基金及投资人承担的风险。同时，本文案例基金的风控状况也是中国大多数中小私募股权基金的风控现状，也希望本人的研究能对国内更多的中小私募股权基金起到借鉴作用。
英文摘要：	With the continuous development of China's capital market, the private equity fund industry has emerged as the times require, and plays an increasingly important role in China's investment market． As a way of direct financing of enterprises, equity investment has played an important role in the healthy development of Chinese enterprises． Especially in recent years, the private equity investment industry has unearthed a large number of outstanding start-ups, which played an important role in the effective allocation of capital． Especially in the context of today's deleveraging policy, the demand for corporate equity financing is growing, which has played a positive role in the development of the private equity investment industry． However, with the explosive growth of the industry, there have been many management chaos．The private equity fund managers were punished by the regulatory agencies, private equity funds were forced to liquidate and the news of investors' rights protection was frequently reported, and many small and medium-sized private fund managers' management capabilities were leaked, especially the lack of risk control capabilities． This paper starts with the investment and post-investment management of the four branches of the private equity fund, and analyzes the risk of the case fund in these two links, the risk control measures of the case fund and the risk control measures． A series of questions． In view of the problems arising from the case fund's risk control activities in the investment and post-investment management, the author consulted the Chinese and foreign literature books, and summarized the risk control optimization measures suitable for the case fund to improve the risk control activities of the case fund and reduce the fund and The risk that the investor bears． At the same time, the situation of the case fund's risk control is also the current situation of China's most small and medium-sized private equity funds, and I hope that my research can be used as a reference for more small and medium-sized private equity funds in China．
