中文摘要：	企业集团化的深入，需要解决因企业集团的复杂性而带来的治理问题，这使得企业集团治理不仅要研究单个企业内的责权利配置问题，而且必须要研究集团中各企业尤其是母子公司间的利益平衡问题。 本文在对企业集团治理、网络组织以及网络治理的相关理论进行梳理和评述的基础上，选取了企业集团作为研究对象。为了评价企业集团的网络治理，结合企业集团的特性和相关评价理论设计了一个评价企业集团网络治理的指标体系。首先选取了宏基这一典型的网络化程度较高的企业集团，用案例分析的方法研究其网络化进程。然后将企业集团网络治理评价体系运用到宏基集团个案中，抽取出相关指标，综合评价宏基集团各阶段的网络治理，并对各阶段的网络治理进行比较分析。最后总结出企业集团在发展过程中，不同的环境、企业发展状况等背景下企业集团的网络治理，以及各因素对集团网络治理的影响，得出几种典型的企业集团治理模式所适用的条件。 本文主要采取了案例研究和比较分析的方法，并用定量与定性分析相结合的方式来展开研究。 本文的创新之处在于：第一，用网络的角度看企业集团的变革和组织结构调整，为企业集团治理方面的研究开创了一个新的视角；第二，从企业集团的网络特性出发，设计了一个评价企业集团网络化程度的指标体系；第三，选取典型的企业集团作为案例来研究，以具体案例来支撑组织变革和组织结构调整的理论，并针对现实中企业战略决策给出了建议。
英文摘要：	With the fast growing of enterprise group, governance problems for the complexity of enterprise group must be resolved, which include not only the assignment among responsibility, right and interest, but also the balance of interest among enterprises especially between parent company and subsidiary company within a group. Enterprise group has been chosen as the research object, which is based on the collection and analysis of the theories of enterprise group governance, network organization and network governance.A general index system of the appraisement of enterprise group's network governance, which is based on the characters of enterprise group and relevant appraisal theories, has been designed to appraise the network governance of enterprise group. Acer Group has been chosen as a case to research its network-organized process.Each step of Acer's network governance has been evaluated synthetically and analysed comparatively.Lastly, with the conclusion of affection to enterprise group governance which contains surroundings, developing status and so on, some typical conditions have been expounded in this paper. We use case study and comparatively analytical method, and combine quantity and quality analysis to do our research. The innovations are as follows: First, a network view has been chosen to observe the transformation of enterprise group, creating a new angle of view of the rearch on enterprise group governance. Second, a general index system of the appraisement of enterprise group's network governance has been desinged. Thirdly, a typical enterprise group has been chosen as the case to study, illustrating the theories of organization transformation and organization structure adjustment, and some useful suggestion about strategy decision has been put up for the real companies.
