中文摘要：	改革开放四十余年来，随着经济全球化进程的持续推进，以及我国社会主义市场经济体制的日益完善，企业如何在愈加激烈的市场竞争与外部商业环境中得以长远发展，已经成为现阶段亟待关注的重要课题。 BJD有限公司成立于2014年，2016年凭借猪冷冻精液技术的突破获取了1300万元的天使融资。近年来， BJD公司在多元化战略的引导下实现了规模化的快速扩张，但随着内外法律环境的变化也使其内部法律风险日益复杂化、多样化。 本文以BJD公司法律风险管理优化作为主要的研究对象，通过结合企业风险管理理论、企业法律风险管理理论以及国内外研究实践等作为理论基础。首先对研究背景与意义、研究内容与方法进行论述，并综述了研究理论基础和文献综述。其次针对BJD公司法律风险管理现状进行阐述和分析，在论述企业内部及外部法律环境的基础上，运用定性分析法识别企业的法律风险关键点，构建了企业法律风险清单，指出企业法律风险管理存在的现实问题。随后，通过运用德尔菲法和指标分析模型对BJD公司法律风险点进行了定性评估，根据企业不同法律风险点的等级划分情况，再运用模糊综合层次分析方法构建量化模型，结果证明BJD公司当前仍然处于较高的法律风险状态。 针对BJD公司的法律管理问题及法律风险评估结果，根据BJD公司所处行业的相关法律法规要求，分别提出了法律风险管理的四个优化方案：一、管理目标与原则；二、强化法律风险管理的部门制度建设（人事管理制度、合同管理制度、优化财务及内部流程管理制度三个方面进行阐述）；三、完善法律风险管理控制机制设计（事前防范机制、事中防范机制、事后反馈及内部报告机制、综合法律风险控制机制）；四、法律风险管理组织结构设计（完善法务人员设置、明确法务部门独立权责、健全企业法律风险考核机制、优化企业法务人员配置）；最后，本文再次提出了BJD公司法律风险管理优化方案的实施保障措施，具体包括：一是提升企业整体法律风险管理意识；二是推动法律风险管理方案具体落实；三是强化法律风险管理的文化建设；四是重视法律风险管理的监督及考核；五是证实法务职能管理对企业战略的作用；六是构建企业法律风险防控体系信息系统。希望通过本文对BJD公司的法律风险管理优化进行研究，能够有效降低企业经营风险，提升企业综合竞争力，为同行业的相关企业提供有益的法律风险管理经验借鉴。
英文摘要：	Forty years after the reform and opening-up policy, with the continuous promotion of economic globalization and the gradual improvement of socialism market economy system, it has become a seriously-concerned issue at the current stage that how a company gains its long-term growth in the fierce market competition and commercial environment. BJD Co. Ltd was founded in 2014 and the company achieved 13 million RMB of angel investment by its breakthrough technology of Frozen Hog Semen in 2016. In recent years, BJD has realized its rapid large-scale expansion under the instruction of diversified strategy, yet the legal risk in the company is getting more and more complicated and various due to the changes of both domestic and international legal environment. According to the legal management issues and legal risk assessment results of BJD, as well as the relevant laws and regulations of the industry in which BJD is located, four optimization schemes for legal risk management were proposed as follows: 1. Management objectives and principles; 2. Department system establishment for strengthening legal risk management (including personnel management system, contract management system, optimization of finance and internal process management system); 3. Improving the plan of legal risk management and control mechanism (pre-prevention mechanism, prevention mechanism, post hoc feedback and internal reporting mechanism, comprehensive legal risk control mechanism); 4. Legal risk management organizational structure design (improving the establishment of legal personnel, clarifying the independent authority and responsibility of the legal department, improving the legal risk assessment mechanism of enterprises, and optimizing the allocation of legal personnel). Finally, this paper once again puts forward the implementation of measures for BJD's legal risk management optimization plan. First, improving the overall legal risk management awareness of the enterprise; second, promoting the specific implementation of the legal risk management plan; third, strengthening the cultural construction of legal risk management; fourth, paying attention to the supervision and assessment of legal risk management; Fifth, confirming the role of legal personel to corporate strategy; sixth, building enterprise information system of legal risk prevention and control system. Through the study of BJD's legal risk management optimization, this paper is aimed at effectively reducing the business operation risk, enhancing the comprehensive competitiveness of enterprises, and providing useful legal risk management experience for related enterprises in the same industry.
