中文摘要：	的十八届三中全会提出混合所有制是以公有制为主体，多种所有制经济共同发展的基本经济制度。通过混合所有制改革，形成多元股权结构，形成协调运转、有效制衡的法人治理结构。 2018年中央经济工作会议提出“积极推进混合所有制改革。”在该次会议上剔除了要进一步深化改革，增强微观企业的活力，深化国有企业改革，不断做强、做大、做优国有资本，改组成立一批国有资本投资公司，组建一批国有资本运营公司，积极推进混合所有制改革。”当前混合所有制改革力度较大，不仅发改委推动三批混合所有制改革试点工作，国资委“双百行动”也在推动，不仅围绕混合所有制改革，还推动相关综合性改革。“国有资本投资、运营公司试点中二、三级公司推动混合所有制改革。” 国家、天津的国有企业混合所有制改革大幕已拉开，但无论是实际操作还是理论指导方面，天津、国内的可借鉴案例和理论都屈指可数。为解决国有企业混合所有制改革实务操作并对相关理论加以总结，本文以天津药物研究院国有企业混合所有制改革为案例，采用相关理论与实际案例相结合的研究方式，总结我国国有企业混合所有制改革的问题、积极探索完善国有企业混合所有制改革公司治理理论，提高国有企业混合所有制改革成功率，实现国有企业做优、做强、做大。 同时，深入研究分析天津药物研究院国有企业混合所有制改革的动因、路径和公司治理效果以及其改革方案的亮点，对理论进行梳理以及对比分析后，总结形成有普遍参考价值的国有企业混合所有制改革模式，希望能够为国有企业混合所有制改革公司治理的完善提供借鉴，为以后国有企业混合所有制改革提供理论上的支持，并对在解决混合所有制改革中的公司治理具体问题有所帮助。
英文摘要：	The third plenary session of the 18th CPC central committee put forward that mixed ownership is a basic economic system with public ownership as the main body and multiple forms of economic ownership developing together. Through the reform of mixed ownership, we will form a diversified shareholding structure and form a corporate governance structure with coordinated operation and effective checks and balances. The 2018 central economic work conference proposed to "actively promote the reform of mixed ownership." According to the meeting, "we need to deepen the reform of the four pillars and eight pillars, with the focus on strengthening the vitality of micro-entities, and push forward relevant reforms to go deeper and achieve solid results. We need to speed up the reform of state-owned enterprises, adhere to the principle of separating government administration from enterprise management, and separating government administration from capital and fair competition. We need to make the state capital stronger, better and larger. We need to speed up the shift from managing enterprises to managing capital. At present, the mixed reform is quite vigorous. Not only is the NDRC pushing forward three batches of mixed reform pilot work, but also the "double hundred action" of SASAC is pushing forward, which not only focuses on mixed reform, but also promotes related comprehensive reform." At the same time, in-depth study drug research institute the motive of mixed ownership reform of state-owned enterprises, the path and the effect of corporate governance and its reform, after carding theory and comparative analysis, summary form has general reference value mode of mixed ownership of state-owned enterprises reform, hoping to present mixed ownership reform of state-owned enterprises (for reference for the perfection of corporate governance, for later mixed ownership reform of state-owned enterprises to provide a theoretical support, and help change in solving the specific problems.
