| 中文摘要: | 国有企业混合所有制改革是进一步深化国有企业改革的重要战略部署,是通过转让企业国有产权的方式引入民营资本,实现各种所有制资本相互促进、共同发展,从而进一步提升国有资本运营效率,激发企业活力。2016年底,中央企业和地方国企纷纷开展混改试点工作,中国联通、中粮集团、东航物流等一批央企通过引入民营资本的方式,成功完成了混改。各地区积极开展市管集团及其下属企业的混改工作,天津作为北方经济中心,混改工作于2017年初正式启动,首批纳入混改的7家企业集团积极研究混改实施方案。在这种历史背景下,天津国新公司作为地方国有平台公司,如何做好面向地方国企混改的国有产权管理工作,成为公司迫切需要思考和解决的问题。 天津国新公司成立于2014年,是天津市国资委直接出资设立的地方国有资本运营公司,主要负责承接地方国企整体上市或混合所有制改革剥离的国有资产,并通过资本运作实现国资布局调整,提升国有资本运营效率。作为服务天津国企混改的地方平台公司,天津国新公司肩负着重要的历史使命。本文作者通过对天津经济结构现状和天津国有资本布局情况进行分析,揭示了天津国企混改的特殊性。再通过对天津国新公司国有产权管理制度和管理流程的深入分析,结合天津国企混改剥离国有产权的特殊性,探索出一套行之有效的、面向天津国企混改的国有产权管理流程。 通过此套管理流程的实行,天津国新公司将对其接收的混改剥离的国有产权实行有效的管理,为实现国有资产的保值增值奠定了坚实的基础。本文的研究对天津国新公司做好面向国企混改的国有产权管理工作具有实际指导意义,对于其它地区国企混改剥离的国有产权管理工作具有一定的参考价值。 | |
| 英文摘要: | State-owned enterprises (SOEs )are suffering from low efficiency and low ROE rate in spite of enormous state-owned assets and capital. Therefore, the Chinese government has been injected vitality into thousands of SOES, including central SOEs through a series of reforms, moving toward mixed ownership and market-oriented management. During the process, the State-owned Assets Supervision and Administration Commission has issued regulations and policies, with an aim to facilitate the reform and avoid state-owned asset losses. Mixed ownership reform for SOEs have made impressive progress in many sectors, and the reform is gradually spreading from the central SOEs to local SOEs. Following the accomplishment of China Telcom mixed ownership reform, more central SOEs and some local SOEs have launched mixed ownership scheme. To promote the mixed ownership reform, many special-purpose companied solely owned by the government are established or restructuring. Tianjin Municipal Government has been promoting the reform since the very beginning, and seven solely state-owned enterprises directly supervised by the Tianjin state-owned assets Supervision and Administration Commission are in the first round of polit work starting 2017. As one of those special-purpose companies and directly supervised by Tianjin State-owned Asset Supervision and Administration Commission, Tianjin GUOXIN Capital Operation Corporation has taken-over large amount of state-owned assets separating from state-owned enterprises going under the reform. How to manage the state-owned assets has becomes a hard issue. As a member of the Asset Management Department of Tianjin GUOXIN Capital Operation Corporation, the writer of the essay aims to figure out effective measures to cope with the issue from different aspects. | |
