中文摘要:目前,国内较多的上市公司普遍采取股权激励的方式来对企业内部的核心管理人员进行约束,这也是当下发展中企业为了激励人才和留住核心员工而推行的一种长期激励机制,这种方式所呈现的管理效果是比较好的。也正因如此,有很多的公司出于提升自我管理结构的目的,在积极采用这样的激励手段。 在实际应用上,学术界对于股权激励是否能够提升企业整体发展水平,以及是否能为公司创造有益价值仍存在较大的争议。深圳万科股份有限公司是我国最早一批尝试股权激励的企业,也是历经多次探索尝试后仍然坚持应用股权激励的一个代表性企业。在很长一段时间内,万科先后实施过三次股权激励方案。作为我国房地产界非常有代表性的一个品牌企业,对其股权激励策略展开研究,既有助于我们更加全面的了解股权激励的具体作用,也能够给其他即将实施股权激励机制的上市公司带来一些启示和思考。 本研究所选取的研究对象是深圳万科股份有限公司,在有关理论支持下,对其三次股权激励方案进行全面剖析。在对万科三次股权激励方案展开研究之前,首先对国内外有关股权激励以及上市公司实施股权激励方案的文献资料进行梳理,对股权激励的基本情况做一个比较全面的了解。随后对万科在2006年至2014年间先后实施的三次不同的股权激励方案进行分析,挖掘其优秀经验,审视其存在的不足之处。其次从财务指标和非财务指标两个层面对万科三次股权激励的效果展开评价。最后根据以上分析结果,尝试为其他上市公司设计股权激励的通行方案以供参考。  
英文摘要:At present, more domestic listed companies generally adopt equity incentive to restrain the core managers of enterprises, which is also a long-term incentive mechanism for developing enterprises to motivate talents and retain core employees. The management effect of this way is relatively good。For this reason, many companies are actively using such incentives for the purpose of improving their self-management structure. In practical application, there is still much controversy in academic circles about whether equity incentive can improve the overall level of development of enterprises, and whether it can create beneficial value for companies. Shenzhen Vanke Co., Ltd. is the earliest group of enterprises in China to try equity incentive, and is also a representative enterprise that persists in applying equity incentive after many explorations and attempts. In a long period of time, Vanke has implemented three equity incentive schemes. As a representative brand enterprise in China's real estate industry, the research on its equity incentive strategy will not only help us understand the specific role of equity incentive more comprehensively, but also bring some inspiration and thinking to other listed companies that will implement equity incentive mechanism. The research object of this study is Shenzhen Vanke Co., Ltd. With the support of relevant theories, this thesis makes a comprehensive analysis of its three equity incentive schemes. Before launching the research on Vanke's three-time equity incentive scheme, firstly, it combs the literature about equity incentive and the implementation of equity incentive scheme by listed companies at home and abroad, and makes a comprehensive understanding of the basic situation of equity incentive. Then it analyses three different equity incentive schemes implemented by Vanke from 2006 to 2014, excavates its excellent experience and examines its shortcomings. Secondly, it evaluates the effect of Vanke's three equity incentives from two aspects of financial indicators and non-financial indicators. Finally, according to the above analysis results, we try to design the equity incentive scheme for other listed companies for reference.
