| 中文摘要: | 随着新常态经济的蓬勃发展,供给侧结构性改革逐步深化,越来越多的企业迫切需要寻求适合自身发展的最优战略决策,以便实现激烈市场竞争中的独特竞争优势。在这种局势下,北京朗特医院作为一家民营医药企业,基于自身发展过程中所面临的资源不均衡的情况,正面临严峻的市场竞争环境。应该采取怎样的竞争战略对东北公立医院进行收购,进而提升企业整体经营实力,增大市场份额,实现企业的长远发展,是北京朗特医院亟待解决的问题。 为了探究激烈的市场竞争环境下,北京朗特医院应采取何种竞争战略以维持现有竞争优势并扩大市场占有率。本文首先梳理了企业并购过程中所涉及到的基本概念和相关理论,同时,简要概括了中国企业并购历史以及当前民营企业和国有企业的发展现状。其次,本文从外部一般环境分析北京朗特医院和东北公立医院在经营过程中面临的外部环境,分别从政治、经济、社会文化以及技术四个维度进行PEST分析。同时利用五力模型帮助北京朗特医院明确外部环境威胁,进而采取相应的策略以消除威胁。接下来,文章进一步探究了北京朗特医院与东北公立医院自身所拥有的内部资源和能力情况。其中包括有形资源、无形资源以及人力资源三方面的内部资源分析和北京朗特医院盈利能力和管理组织能力两方面的能力分析。紧接着,通过SWOT分析法明确北京朗特医院经营发展过程中的优劣势,以及面临的机遇和威胁,以进一步探究北京朗特医院采取并购战略的必要性和可行性,并设计出北京朗特医院的并购战略及具体途径。最后对北京朗特医院采取并购战略的具体实施情况进行分析,以观察战略实施前后给公司带来的具体管理实践效果。 本文研究发现,北京朗特医院在开拓市场份额,提高整体经营实力的情况下,应该要采取积极主动的并购战略,进一步,通过全资收购方式对东北公立医院进行并购,从而提升医院整体竞争优势以获得持续发展。 | |
| 英文摘要: | With the vigorous development of the new normal economy and the gradual deepening of the supply-side structural reform, more and more enterprises urgently need to seek the optimal strategic decision suitable for their own development in order to obtain a strong competitive advantage in the fierce market competition. In this situation, Beijing Langte Hospital, as a privately-run pharmaceutical enterprise, is facing a severe market competition environment because of the imbalance of resources in its own development process. What kind of competitive strategy should be adopted to purchase northeast public hospitals, and then to enhance the overall management strength of enterprises, increase market share, realize the long-term development of enterprises, is a problem that Beijing Langte Hospital needs to be solved urgently. The thesis aims at researching what kind of competitive strategy Beijing Langte Hospital should adopt in order to maintain the existing competitive advantage and expand the market share under the circumstance of fierce market competition. To solve this problem, the thesis first combs the basic concepts and related theories involved in the process of merger and acquisition of enterprises. At the same time, it briefly summarizes the history of mergers and acquisitions of Chinese enterprises and the current development status of private enterprises and state-owned enterprises. Secondly, this thesis analyzes the external environment of Beijing Langte Hospital and Northeast Public Hospital in the course of operation from the external general environment, adopts the pest analysis paradigm from the political environment, the economic environment. The social and cultural environment and technical environment are analyzed in four dimensions. At the same time, the five forces model is used to help Beijing Langte Hospital to identify the external environmental threat, and then adopt the corresponding strategy to eliminate the threat. Next, the thesis explores the internal resources and abilities of Beijing Langte Hospital and Northeast Public Hospital. The internal resource analysis includes three aspects: tangible resource, intangible resource and human resource, and the capability analysis includes the profitability and management ability of Beijing Langte Hospital. Then, on this basis, using swot analysis to clarify the advantages and disadvantages, as well as the opportunities and threats that Beijing Langte Hospital faced in the course of its operation and development. In order to further explore the necessity and feasibility of Beijing Rent Hospital M & A strategy and design the Beijing Langte Hospital M & A strategy and specific ways. Finally, this thesis analyzes the concrete implementation of the M & A strategy adopted by Beijing Langte Hospital, in order to observe the concrete management practice effect brought to the company before and after the implementation of the strategy. Through this research, we find that under the circumstances of opening up market share and improving the overall management strength, Beijing Langte Hospital should adopt a proactive strategy of M & A, and further, acquire Northeast Public Hospitals by means of wholly-owned acquisition. So as to promote the overall competitive advantage of hospitals to achieve sustainable development. | |
