中文摘要：	集团管控，是进入新世纪以来大型企业集团讨论最多的话题之一。一夜之间“管控”这个带有中国风格和时代特色的词语开始进入企业家的辞典、管理学者的课堂，但对于“管控是什么”、“管控为什么会产生”、“管控应包括哪些内容”、“管控体系如何建设、部署与运行”这些基本的问题，中国的企业界包括管理学界，并无一致的概念、规范和标准。管控是什么?我们更倾向于将其理解为“一套贯彻集团管理思想、确保集团利益最大化与风险最小化、确保集团战略实现的管理工具、方法与技术的集合”。这一概念有两个涵义：首先，集团管控要贯彻落实的是“集团的管理思想”。现实中的集团企业，往往规模庞大、业务繁杂，尤其中国现阶段的民营企业集团，很多都在担负着转型、瘦身、升级的重任，在这样的前提下客观上需要有一套办法，帮助集团把旗下数十、数百甚至数千家企业聚拢在一起，贯彻共同的价值取向和管理思想，以改变集而不团、管而不理的局面。其次，集团管控的现实目标是集团的“利益最大化与风险最小化”。利益与风险，是一对相伴而生的概念，单独意义上的利益最大化可以实现，风险最小化也可期，但集团企业往往追求的是复合标，是二者的有机平衡后的最佳状态。企业集团是一个整体，集团公司是管理企业集团的中枢神经，集团管控则是具体运用方法，方法发挥得好，就能获得整体上水平的提高，实现统筹兼顾，方法运用失误，就会导致集团公司内部混乱，难以形成一个整体，部分运行失当，还会使整体受到不良影响。集团管控对于企业集团发展而言具有统筹全局、协调有序的作用。本文基于这个理论来对集团管控模式展开研究。
英文摘要：	Group control is one of the topics most discussed by large-scale enterprise groups since the beginning of the new century. Suddenly，management control，the word with Chinese style and era characteristics began to enter the dictionary of entrepreneurs and the management scholars' classrooms，but regarding to the basic questions of What are the management controls? Why management control is generated? and What should be included in management control? How to build， deploy and operate management control system? There is no consistent concept， norm，nor standard among Chinese business community including management academics. What is management control? We tend to understand it as a set of management tools，methods，and techniques that implement group management theories，ensure maximum benefit with minimum risk，and ensure the realization of group strategy. This concept has two meanings： First of all，the group control should implement the management ideology of the group. In reality，enterprise groups are often large in size and complicated in business. In particular，many state-owned enterprise groups in China at the present stage are bearing the heavy responsibility of transformation，downsizing and upgrading. Under such conditions，an objective set of measures is needed. Help the group bring together tens，hundreds or even thousands of companies together to implement common values and management ideas to change the situation that is not grouped，managed and ignored. Secondly，the realistic goal of group control is to maximize the interests and minimize the risks of the group. Interest and risk are a pair of concomitant concepts. The maximum of interest in the sense of independence can be realized，and the minimum of risk can also be achieved. However，the group enterprises often pursue the compound standard，which is the best state after the organic balance between the two. The group as a whole, the company is the management of enterprise group of the central nervous, group control is the concrete application method, method of play well and get the improvement of overall level, achieve balanced and method using the error, will cause confusion within group companies, it is difficult to form a whole, some improper operation, will cause the overall adverse effect. Group management and control plays an overall and coordinated role in the development of groups. Based on this theory, this paper studies the group management and control mode.
