| 中文摘要: | 为了贯彻落实中央精神,顺应银保监会监管要求,强化自身不良资产经营主业,各家金融资产管理公司近期都在大力推动“问题企业的实质性重组”业务发展。 通过对HR资产管理公司“问题企业的实质性重组”研究,本文主要是希望在目前金融业企业发展聚焦主业的大环境下,以全新的视角去审视“问题企业的实质性重组”业务,并从实践的角度出发,尝试性的提出业务优化方案、优化方案实施的对策以及保障措施为HR资产管理公司未来开展该类业务提供一定的参考。 本文首先对“问题企业的实质性重组”的定义进行了阐述,同时简要介绍了该业务涉及的相关经典理论:主要包括投资理论、并购重组理论以及盈利模式理论等。 随后,本文开始以HR资产管理的角度对“问题企业的实质性重组”业务进行研究,在对HR资产管理公司的发展历程、核心业务以及经营财务状况进行描述之后,以“A公司重组”案例为例介绍了“问题企业的实质性重组”业务的典型模式,并分析了该类业务目前存在的问题以及问题产生的原因。 根据上述的分析观点,本文提出了HR资产管理公司“问题企业的实质性重组”业务的优化方案,优化方案的总体设计思路遵循了制度优化、流程优化、操作优化的逻辑顺序。同时,根据业务优化方案的内容提出了优化方案实施的对策及保障措施。 最后,本文提出了对HR资产管理公司“问题企业的实质性重组”业务研究的结论与展望,“问题企业的实质性重组”业务必将迎来更大发展,成为HR资产管理公司未来经营的亮点。 | |
| 英文摘要: | In order to implement the spirit of the central government, comply with the supervision requirements of the Banking and Insurance Regulatory Commission and strengthen the main business of non-performing assets management, various financial asset management companies have recently been vigorously promoting the business development of "substantive restructuring of problematic enterprise".? Through the research on "substantive reorganization of problematic enterprise" of HR Asset Management Company, this paper mainly hopes to examine the business of "substantive reorganization of problematic enterprises" from a brand-new perspective under the current environment of focusing on the main business development of financial enterprises, and from the practical point of view, tentatively puts forward the business optimization scheme, the Countermeasures for the implementation of the optimization scheme and the safeguard measures for HR asset management companies to carry out such business in the future.? Firstly, this paper expounds the definition of "substantive reorganization of problematic enterprises", and briefly introduces the relevant classical theories involved in this business, including investment theory, merger and acquisition reorganization theory and profit model theory, etc.? Subsequently, from the perspective of HR asset management, this paper begins to study the " substantive reorganization of problematic enterprise". After describing the development history, core business and financial situation of the HR asset management company, it introduces the classic model? of " substantive reorganization of problematic enterprise " industry with the "A company reorganization", and the current problems of business and causes of the problems are analyzed.? According to the above analysis, this paper proposes the optimization scheme of the " substantive reorganization of problematic enterprise" of the HR asset management company. The overall design idea of the optimization scheme follows the logical sequence of system optimization, process optimization and operation optimization. At the same time, according to the content of the business optimization scheme, the countermeasures and safeguard measures for the implementation of the optimization plan are proposed. Finally, this paper puts forward the conclusion and prospect of the business research on "substantive reorganization of problematic enterprises" of HR asset management companies.
