中文摘要：	公司治理问题作为近年来企业最为关注的问题，对企业长期稳定的发展起到至关重要的作用。本文选取的民营上市企业X新能源作为一家光伏投资企业，具有家族控股的特征。笔者通过查阅国内外相关文献以及案例，结合公司治理相关理论与其他学科专业知识，对该公司目前的内部治理结构以及外部治理环境进行了现状分析。发现尽管公司内部非常重视治理问题，但在治理方面仍存在进一步优化的空间。为避免控股股东损害中小投资者的利益的情况发生，故此提出了希望通过完善公司治理结构，优化公司治理机制，保障董事会决策的科学合理，实现信息披露的公开透明，从而促进公司股票市值增长，逐步实现将家族控股企业过渡为社会性企业的目标。 本文拟从董事会、监事会及经理层等三个层面提出对内部治理结构的优化方案。通过引入外部投资者，优化公司股权结构，改进激励与约束机制来避免管理层权力寻租的行为，降低代理成本以及完善信息披露机制，以上措施旨在优化公司内部治理机制。最后，通过调整董事会战略决策、培育公司治理文化以及构建科学的管理层人才评价体系等方面来实现对公司治理机制的保障。 X新能源作为一家资本密集型的光伏上市企业，在面临外部市场和政策快速变化的情况下，需要从公司治理的角度进行持续提升，解决目前企业内部存在的治理问题。通过完善内外部的监督权力，来保障公司全体股东的利益。积极践行绿色治理的企业价值观，为社会与环境的永续发展做出贡献，实现公司与行业健康有序的发展。
英文摘要：	Corporate governance, as the most concerned issue in recent years, plays a crucial role in the long-term stable development of enterprises. X new energy, a private listed company , as a photovoltaic investment enterprise selected in this paper, has the characteristics of family holdings. By referring to relevant literatures and cases, combining with the theories of corporate governance and professional knowledge of other disciplines, the author analyzes the current status of internal governance structure and external governance environment of the company. It is found that there is still room for further optimization in terms of governance although the company attaches great importance to governance. In order to avoid the controlling shareholders damage the benefits of other investors, put forward to improve corporate governance structure, optimize the corporate governance mechanism, ensure the decision by the board of directors of the scientific and reasonable, realize the transparency of information disclosure, so as to promote the company's stock market value growth, gradually realize the family holding enterprises transition to social corporation. This paper proposes an optimization scheme for the internal governance structure from the three aspects of board of directors, board of supervisors and senior executive. The above measures aim to optimize the internal governance mechanism of the company by introducing external investors, optimizing the shareholding structure of the company, improving the incentive and constraint mechanism to avoid the rent-seeking behavior of the management, reducing agency costs and improving the information disclosure mechanism. Finally, the guarantee of the corporate governance mechanism is realized by adjusting the strategic decision-making of the board of directors, cultivating the corporate governance culture, and building a scientific management talent evaluation system. As a capital-intensive photovoltaic listed company, X new energy needs to make continuous improvement from the perspective of corporate governance in the face of rapid changes in external markets and policies, to solve the governance problems existing in the current enterprise. The benifits of all shareholders of the company can be guaranteed by improving the internal and external supervision power. Finally, Actively practice the corporate values of green governance, contribute to the sustainable development of society and environment, and realize the healthy and orderly development of the company and industry.
