| 中文摘要: | 随着中国的快速崛起与经济不断增长,技术日益更新,公司彼此的竞争也越来越激烈。公司之间的竞争,其实就是人才的竞争。任何公司要想基业长青、持续健康发展,在激烈的市场环境中立于不败之地,留住人才、激励人才和培养人才是必须考虑和解决的关键问题,而“股权激励”则是目前许多公司热衷的核心留人、用人和激励人才机制。尤其公司上市对人才有着深远的影响,通过股权分配和激励这个创造财富的机器培养和造就了许多人才。目前股权激励在上市公司应用的比较广泛,但非上市公司的股权激励尚处于起步阶段。各项针对非上市公司股权激励的研究也比较少,法律法规也需要进一步的完善。 在此背景下,本文首先介绍了股权激励的研究背景、目的、意义以及本文的基本研究思路与框架图,主要以“提出问题、分析问题、解决与改善问题”的逻辑思路作为本文的基本框架。其次,本文查阅了国内外众多先进的股权激励参考文献,结合股权激励的相关理论与工具,对其理论进行了研究和分析,并进行了总结和概括。再次,本文结合非上市民营公司的特点,以非上市民营X公司为具体实际案例,对该公司的股权激励实施方案进行分析,诊断其问题与不足,然后结合公司实际情况进行了优化设计。最后,本文也对新的股权激励方案进行了确认,进而证明其是有价值的、有实用性的,是充分可行的。 本文通过对股权激励的深入研究和分析总结,对X公司的股权激励实施方案进行了优化设计,让股东和高管团队的利益达到了有机结合,实现了激励的真正目的,达到了预期效果,促进了企业更好地发展。同时,也希望本文可以为正在研究和应用股权激励的非上市公司和高级管理者提供一些经验和借鉴意义,最终帮助其解决实际困难,激励人才,留住人才,吸引人才,促进企业健康持续稳定的发展。 | |
| 英文摘要: | As China develops rapidly, competition among companies becomes more and more fierce along with its economic growth and technologic updating. Competition among companies is actually the competition of talents. In order to keep their foundation of business ever-solid, remain healthy and constant development and keep winning in the fierce market environment, talents’ retaining, motivating and cultivating has become key issues that must be considered and solved. Nowadays many companies are keen on ‘equity incentive’ as the core mechanism of employing, retaining and motivating talents. Especially listed companies have a far-reaching impact on talents,by using the stock-right distribution and incentive as a wealth-creating machine, many talents have been trained and created. Equity incentive is widely used in listed companies, but it’s still in the beginning period in non-listed companies and there is less research on equity incentive for non-listed companies and relevant laws and regulations also need further improvement. Under such background, this thesis firstly introduces the research situation, purpose, significance of equity incentive and its’ basic research ideas and framework diagram, mainly with the logical thinking of "raising problems, analyzing problems, solving and improving problems" as its’ basic framework. Secondly , this thesis have consulted many advanced domestic and foreign references documents on equity incentive. By way of combining the relevant theories with the tools of equity incentive, this thesis have studied and analyzed its theory and meanwhile made a summary and generation. Then this thesis combine the features of non-listed company and analyze a non-listed private company X group as a specific case. This thesis analyze its implementation of equity incentive program, this thesis diagnose its problems and shortcomings, and then according its situation This thesis raise an optimal the design. Finally, this thesis end on confirmation the new equity incentive scheme and improve that it is valuable, practical and feasible. Based on the in-depth study and analysis of equity incentive, this thesis optimizes the implementation of equity incentive in X Group Company, which integrates the interests of shareholders and senior management team, realizes the real purpose of incentive and will achieve the expected results and promote the better development of the enterprise. And this thesis hope that this thesis can provide thoughts and references for other companies doing research or implementation of equity incentive and for other senior managers, help them to solve practical difficulties in retaining core talents and motivating them to making better performance in the companies. | |
