中文摘要：	近年来，受到国内石化行业市场化改革，多元化市场格局逐步形成，中石油、中石化两大集团区外销售企业体制改革等因素的影响。以成品油零售为主营业务的石化行业合资企业不断涌现，这些合资企业有些能够保持平稳运行，不断为股东创造价值收益，也有些合资企业因为各种原因出现合作困境无法保持原有的合作关系，甚至出现企业运行停滞的局面。 这些合资企业大多由中石化、中石油两大集团控股或参股，受母公司影响，非常注重IT信息化。在这些合资企业中，搭建与公司治理理念相配套的信息系统，借助信息系统加强企业管理是普遍共识。在时下IT系统与公司经营管理深度融合，IT治理与企业治理深度融合的现实情境下，专门研究IT治理和合资企业治理的关系，探讨IT治理对于解决合资企业合作困境的效用很有实际意义。IT治理在这些合资企业的治理中发挥了怎样的作用，IT治理对于预防和扭转合资企业合作困境问题是否具有一定的效用，是本文讨论的主要内容。 本文首先分析了合资企业治理及IT治理两个领域的相关概念，具体包括交易成本理论、社会困境理论、冲突管理理论、组织协同理论、企业资源观理论、信息资源管理理论、信息系统建设模型理论等。在现有理论的基础上，又采取文献归纳法对国内外研究现状、研究成果进行了总结，阐述了合资企业控制权问题、公司僵局问题、合资公司融合理论和文化冲突、IT治理与实施策略、业务与IT一致性、IT治理与公司绩效关系、中国企业IT治理机制等与作者研究方向相关的理论及研究成果。 结合现有的概念、理论和相关研究成果，作者阐述了IT治理与合资企业治理的关系，提出了合资企业初创阶段、稳定运行阶段和合作困境阶段中，IT治理对于合作关系建立、预防合作困境问题、扭转合作困境问题的具体效用假设。并采取多案例分析法选择中石化控股或参股的三家合资企业结合其所处的不同阶段，对假设进行了验证，得出了IT治理可以视为合资企业参股方提供的一项资源，这项资源的充分利用可以帮助合资企业在合作伙伴间建立信任关系，并约束合资企业各项经营管理业务按照企业规定制度执行，提高机会主义行为产生的难度，对合资企业合作困境问题的产生起到预防作用的结论。同时对石化行业合资企业IT治理给出了建议。
英文摘要：	In recent years, due to the market-oriented reform of the domestic petrochemical industry, the diversified market pattern has been gradually formed, and the reform of the sales enterprise system outside the regions of CNPC and Sinopec, etc. Petrochemical joint ventures, whose main business is the retail of refined oil products, are constantly emerging. Some of these joint ventures can maintain stable operation and constantly create value gains for shareholders, while some of them fail to maintain the original cooperation relationship due to various reasons and even suffer from the stagnation of enterprise operation. Most of these joint ventures are controlled or Shared by two major groups, Sinopec and Petro China. Affected by the parent company, they attach great importance to IT informatization. In these joint ventures, it is generally agreed to build information systems that are compatible with the concept of corporate governance and strengthen enterprise management with the help of information systems. At present, under the realistic situation of deep integration of IT system and corporate operation and management and deep integration of IT governance and corporate governance, special research is made on the relationship between IT governance and joint venture governance, and IT governance is of practical significance for solving the difficulties of joint venture cooperation. IT governance plays a role in the governance of these joint ventures, and whether IT governance has a certain effect on preventing and reversing the dilemma of joint venture cooperation is the main content discussed in this paper. This paper first analyzes relevant concepts in the two fields of joint venture corporate governance and IT governance, including transaction cost theory, social dilemma theory, conflict management theory, organizational coordination theory, enterprise resource theory, information resource management theory, and information system construction model theory. On the basis of existing theory, and adopting literature induction to the domestic and foreign research present situation, research results are summarized and expounded the problems for control of the joint venture company deadlock problem, the joint venture company integrates theory and cultural conflict, IT governance and implementation strategy, business and IT alignment, IT governance and corporate performance relationship, Chinese enterprise IT governance mechanism and the author's research direction related theory and research results. Combined with the existing concept, theory and related research achievements, the author expounds the relation between the IT governance and joint venture management, put forward the start-up stage, stable stage and joint venture cooperation dilemma stage, IT governance relationship to establish cooperation, prevent trouble problem, reverse cooperation dilemma specific utility hypothesis. And take case analysis method to choose more Sinopec holding three joint venture or equity participation in combination with its different stages, the hypothesis is verified, IT is concluded that the IT governance can be regarded as a joint venture enterprise stakeholders to provide resources, better utilization of the resources can help joint venture to establish trust relationship between the partners, and constraint joint venture business in accordance with regulations of the enterprise management system, increase the difficulty of the opportunism behavior, for the joint venture cooperation dilemma problem conclusion prevention effect. At the same time, IT management of joint ventures in petrochemical industry is proposed.
