中文摘要：	随着公司所有权与控制权分离理论的愈加成熟，公司对股权结构的应用越来越灵活，从而使得公司治理成效越来越接近公司的预设目标。一般而言，股权结构设计是公司治理结构模式的基础，公司治理结构模式则是股权结构设计的具体运作体现。所以，不同的股权结构设计决定了不同的组织架构，进而形成了不同的公司治理机构，并最终影响了公司的行为和绩效。本文的研究对象就是阿里巴巴基于传统股权结构和传承阿里巴巴文化的现实需求而独创的合伙人制度，文章通过研究分析阿里巴巴公司的创设、引进雅虎的财务投资、转移支付宝股权以及2014年在美国上市等案例，对合伙人制度进行了深入研究。阿里巴巴合伙人制度的出现，让我国已经习惯了公司法规定的“一股一权”的人们不觉耳目一新。目前，我国市场经济日益开放，经济发展进入新常态，国家正在深入推进国有企业改革和支持民营企业发展，分析和研究阿里巴巴的合伙人制度，有利于厘清现代企业公司治理方式的发展变化，有助于改善上市国企及民企的治理质量和公司业绩，进而促进我国社会经济整体繁荣发展。同时，研究阿里巴巴合伙人制度，有利于剖析我国上市公司在治理机制上可能存在的问题，从而举一反三、触类旁通，创新性地帮助他们找到解决自身公司治理方面问题的措施和方法。此外，本文在前人研究成果的基础上，统筹考虑分析了阿里巴巴集团近几年来的发展现状，从上市公司的治理、投资者、监管者等角度重点研究了阿里巴巴合伙人制度的现状，并分析了其存在的问题。同时，通过对比合伙人制度与传统二元股权结构之间的关系，摸清合伙人制度的本质。进而结合近年来阿里巴巴集团股权结构方面的事例，从实践意义上深入系统地分析了合伙人制度问题存在的原因，并从影响合伙人制度的内外因素两个方向入手，提出了建立明确的合伙人候选人选拔条件，限制合伙人权利、衡量合伙人绩效等建议和措施，有针对性地完善合伙人制度。此外，通过分析和研究合伙人制度，可以推动国家关于企业股权结构设计方面的法律政策的改革创新，进而有助于进一步活跃市场经济，帮助更多新兴企业在本土上市。
英文摘要：	With the maturity of the theory of separation of ownership and control of the company, the company's application of the ownership structure is more and more flexible, which makes the corporate governance effect closer to the company's preset goals. Generally speaking, the ownership structure design is the basis of the corporate governance structure model, and the corporate governance structure model is the concrete operational manifestation of the equity structure design. Therefore, different ownership structure design determines different organizational structures, which in turn forms different corporate governance institutions and ultimately affects the company's behavior and performance. The research object of this paper is Alibaba's original partnership system based on the traditional equity structure and the actual needs of inheriting Alibaba culture. The article analyzes the creation of Alibaba, introduces Yahoo's financial investment, transfers Alipay equity, and in 2014 in the United States. In the case of listing, etc., the partner system was studied in depth. The emergence of the Alibaba partner system has made people who are accustomed to the "one share and one power" stipulated by the company law. At present, China's market economy is increasingly open, and economic development has entered a new normal. The state is deepening the reform of state-owned enterprises and supporting the development of private enterprises. Analysing and studying the partner system of Alibaba is conducive to clarifying the development and changes of corporate governance in modern enterprises. It will help improve the governance quality and company performance of listed state-owned enterprises and private enterprises, and thus promote the overall prosperity and development of China's social economy. At the same time, studying the Alibaba partner system is conducive to analyzing the problems that may exist in the governance mechanism of listed companies in China, and thus infers the analogy and the analogy, and helps them find ways and means to solve their own corporate governance problems. In addition, based on the previous research results, this paper comprehensively analyzes the development status of Alibaba Group in recent years, and focuses on the current situation of Alibaba's partner system from the perspectives of listed companies' governance, investors and regulators. And analyzed its problems. At the same time, by comparing the relationship between the partner system and the traditional dual ownership structure, the essence of the partner system is found out. Combined with the case of Alibaba Group's shareholding structure in recent years, this paper analyzes the reasons for the existence of the partner system in a practical and in-depth manner, and starts from the two directions of internal and external factors affecting the partner system, and proposes a clear partnership. Suggestions and measures for selecting candidates, limiting partners' rights, measuring partner performance, etc., and improving the partner system in a targeted manner. In addition, through the analysis and research of the partner system, it can promote the reform and innovation of the state's legal policies on the design of corporate equity structure, which will help to further activate the market economy and help more emerging companies to list locally.
