中文摘要：	1978年12月十一届三中全会，打破了我国建国以来单一公有制经济格局，开始了“公有制为主体，多种所有制形式共同发展”的新局面。但随着世界经济的快速发展，企业之间竞争日趋激烈，国有企业由于沉重的计划经济体制“包袱”、高昂的运营成本和用人机制上的弊端等原因导致企业经营出现困难，造成了国有资产流失，同时也制约企业的发展。如何在市场经济的新形势下，保证国有经济的快速发展，满足人民生活水平不断提高的需要，实现中华民族的伟大复兴，各种所有制经济间的协同发展、共同进步显得尤为重要。本文通过对国内外学者对混合所有制、国有企业、公司治理等方面的理论和学说进行系统整理。以湖南颐丰食品有限公司为案例企业，运用实践检验理论的方法，根据实际运营效果，分析出导致此种局面多因公司治理层面出现了问题，从而限制了公司正常发展。总结出颐丰公司公司治理层面目前存在股权比例失衡、公司治理结构运作失效、行政化管理严重等方面的问题，并分析公司治理问题产生的原因。针对公司治理中面临的突出问题，提出适度降低国有股权比例，建立各司其职的公司治理结构，公司治理的去行政化管理，打造富有活力高效的经理层等相应的改进方案。同时为了保障方案的顺利实施，从方案实施的组织和领导、方案实施的资源配置、方案实施的风险控制等方面进行打造。本文为混合所有制企业尽快健全和完善公司治理机制提供了参考意义。
英文摘要：	The Third Plenary Session of the Eleventh Central Committee in December 1978 broke the pattern of a single public ownership economy since the founding of the People's Republic of China, and began a new situation of "public ownership as the main body and multiple forms of ownership to develop together". However, with the rapid development of the world economy, the competition among enterprises has become increasingly fierce. Due to the heavy burden of the planned economic system, high operating costs and the drawbacks of the employment mechanism, state-owned enterprises have experienced difficulties in business operations, resulting in the loss of state-owned assets and the development of enterprises，and also restricted the development of enterprises. Under the new situation of the market economy, ensuring the rapid development of the state-owned economy, meeting the needs of raising people's living standards, and realizing the great rejuvenation of the Chinese nation, the coordinated development and common progress among various ownership economies is particularly important. This paper systematically sorts out theories and doctrines of mixed ownership, state-owned enterprises, and corporate governance by scholars at home and abroad. Taking Hunan Yifeng Food Co., Ltd. as a case, using the method of practice test theory, according to the actual operation effect, it analyzes that this situation is caused by problems in the corporate governance level, which limits the normal development of the company. It also concludes that the corporate governance level of Yifeng Company currently has problems such as imbalance of equity ratio, failure of corporate governance institutions, and serious administrative management method, and analyzes the causes of corporate governance problems. In view of the outstanding problems faced in corporate governance, it proposes to appropriately reduce the proportion of state-owned shares, establish corporate governance institutions with their respective functions, de-administrative management of corporate governance, and create corresponding improvement programs such as dynamic and efficient managers. At the same time, in order to ensure the smooth implementation of the program, it is built from the organization and leadership of the plan implementation, the resource allocation of the plan implementation, and the risk control of the plan implementation. This paper provides a reference for mixed ownership enterprises to improve corporate governance mechanisms as soon as possible.
