中文摘要: 随着中国经济的持续增长,国内旅游市场快速成长,资本市场逐渐发展。资本市场与旅游市场相互融合,推动着旅游行业高速发展。然而旅游行业中总量占90%的众多中小企业处于规模小、制度落后、融资难和同质竞争激烈状况,制约着旅游行业整体实力的提升。旅游业界一直在探索如何解决中小旅游企业困境,而上市是经实践证明了可帮助企业持续快速发展的捷径。一些大型国有旅游集团成功的上市不仅帮助企业筹措长期发展所需的资金,还转换企业的经营管理机制,提高企业在社会的知名度和影响力,增加对优秀人才的吸引力,实现企业资源在更大范围内的优化配置。在成功企业示范作用下,在国外风险投资资金对新型旅游企业投资热情下,越来越多中小旅游企业寻求上市来实现经营竞争力和规模的双重突破。 上市是一项系统工程,在运作过程中,将涉及到企业的各个方面。中小旅游企业应结合自身情况,明确自身上市目标,在上市时机、上市地点与上市方式上,选择适合自己的上市策略和方法。 本文通过对大量课题相关文献和资料的阅读,对相关政策的研究,介绍了上市与融资相关理论和知识;分析了当前中小旅游企业上市需求形成的动因、可行性和必要性;同时从主客观角度系统分析中小旅游企业上市存在阻碍因素。通过对国内中小旅游企业上市经验中总结出我国中小旅游企业上市模式,并从理论与实践的角度对模式合理性进行论证;同时结合我国中小旅游企业现状,分析酒店类、景点类、旅行社类和餐饮类企业对该模式应用,重点介绍私募风险投资作用;并针对我国中小旅游企业上市模式应用中相关问题提出建议,以更好抓住机遇并规避风险,以期能为中小旅游企业海外上市提供一条清晰的思路和有益的借鉴。  
英文摘要: With economic growing in China, the domestic and international tourism markets grow fast and the capital market develops quickly. The integration between Capital market and the tourism market promotes the tourism industry rapidly. However, the small and medium-sized tourism enterprises, accounted for 90% of the total number of tourism industry, suffered the backward system, financing difficulties and intense competition which restricted to the development of tourism industry. The tourism industry has been exploring how to break free from the plight of small and medium-sized tourism enterprises, and there are many evidences that enterprise could overcome the shortage of funds and realize sustain and rapid development by listing . A number of large listed and state-owned tourism groups not only successfully got the necessary funds for the long-term development, but also convert the operation and management mechanism of enterprises. Listing can improve the visibility influence of enterprise in the community. Listed enterprises have benefit to attract talents and get resources in a more a wide range of optimal allocation. On the exemplary effect of the successful enterprises, with the high enthusiasm by foreign venture capital funds to invest in the tourism enterprises, more and more small and medium-sized tourism enterprises are seeking to list to achieve a double breakthrough of business competitiveness and the size. Listing is a systematic project. The operational process will involve all aspects of the enterprise. Small and medium-sized tourism enterprises should be clear on their own listing goals, timing, location and market to choose their own listing strategies and methods for their specific circumstances. After reading a large number of related thesis and policies through research, in this thesis I introduced the related theory and knowledge of listing and financing, and analysis of the motivation, feasibility and necessity for small and medium-sized tourism enterprises listing. From the subjective and objective points, the thesis systematic view of the existence obstacles of listing for small and medium-sized tourism enterprises. Through the experience of domestic listed small and medium-sized tourism enterprises, the thesis sums up the listing model of small and medium-sized tourism enterprises and demonstrates the rationality of the model from the theory and practice perspectives. According to the status quo of small and medium-sized tourism enterprises in China, the thesis analyses of the hotel, the attractions, the travel agency and catering enterprises in the application of the mode, and emphasizes on the important role of private venture capital. At last it provides clear and useful recommendations on the related issues of the model- application to better seize opportunities and avoid risks.
