| 中文摘要: | 摘 要 K银行作为首批试点的五家民营银行之一,在三年来的经营中取得了一定的成绩,但受到经济发展进入“新常态”,监管压力的不断增大的影响,K银行公司治理方面的内在隐患逐渐暴露,并成为制约其开展全面风险管理的核心因素。2018年K银行因风险管理问题突出,被监管部门处罚,因此改善公司治理,进而提升风险管理水平,已经成为其亟待解决的问题。 本文在充分阐述全面风险管理理论和公司治理理论的基础上,以K银行为研究对象,通过收集整理K民营银行从开业至今三年来的全面风险管理和公司治理层面的资料,与同时期成立的四家民营银行进行了对比分析,从K银行全面风险管理的现状入手,全面展示K银行在全面风险管理中存在的问题及其表现形式,探究K公司治理存在的缺陷对全面风险管理的负面影响,进而提出K银行改善公司治理的紧迫性和必要性。 本文通过总结了K银行在公司治理领域存在的问题,如股东削弱剩余风险承担机制,董事会内部机制不健全,监事会未履行监督职责,高管激励约束错位等;并从利益驱动、决策机制、道德风险等方面分析了上述问题对全面风险管理机制的扭曲作用,同时尝试对公司治理提出改进建议,包括:优化股东管理机制,完善董事会工作机制,补充监事会人员,改善高级管理层激励机制等。 关键词:民营银行;全面风险管理;公司治理 | |
| 英文摘要: | Abstract The K bank, has made achievement in past three years, as one of the five pilot private Banks in China, However, the inner problem about risk management of K bank is generally exposing, when it is affected by the "new normal" of economic development and increasing external regulatory pressure. The inherent hidden risks in the corporate governance of K bank have gradually been exposed and become the core factor that restricts its enterprise risk management. In 2008, the K bank has been fined as the punishment for the problem of risk management by CBRC (China Banking Regulatory Commission) Therefore, it has become an urgent problem for bank K to improve corporate governance in order to enhance risk management level. This paper fully explains the Enterprise Risk Management theory and Corporate Governance theory. Then using K bank as the research object, this paper collects K private bank’s material about Enterprise Risk Management and Corporate Governance in three years, comparing with the other four private Banks which started business at the same period, invests K bank with the current situation of Enterprise Risk Management, comprehensively displays the problems which exists in the Enterprise Risk Management of K bank. The paper intends to explore the disadvantages in K bank Corporate Governance that has the negative impact on Enterprise Risk Management, puts forward K bank urgency and the necessity of improving the Corporate Governance. This paper summarizes the existing problems of K bank in the field of Corporate Governance. For example, The shareholders weaken the residual risk taking mechanism, the internal mechanism of board of directors is not well organized, the board of supervisors fails to perform the supervision responsibilities, and senior executives' incentives and constraints are misplaced. And from the interest-driven, decision-making mechanism, moral hazard are analyzed in aspects of those problems that impact on the Enterprise Risk Management, then tries to make some suggestion to improve Corporate Governance of K bank, including: optimize the equity structure and shareholders management mechanism, optimize the board structure and working mechanism, add members to the board of supervisors, perfect the senior management incentive mechanism, etc. Keywords: Private Banks; Enterprise Risk Management; Corporate Governance | |
