中文摘要：	互联网企业是以网络及相关技术为运营基础的经济实体，与传统企业相比，互联网企业具有轻资产、绿色、低能耗和创新特点。当前我国互联网步入发展快车道，互联网企业成为资本市场宠儿。而互联网企业在高速发展的同时，也暴露出不少问题，如上市后业绩变脸、治理决策效率低、盲目扩张。不少企业上市多年，业绩无法突破瓶颈。企业的发展，依靠人才、技术、更不能缺少资本支持。互联网企业发展的现状是，一方面是融资难，另一方面治理缺失使潜在的投资者敬而远之。在治理运行上，有些管理层过于功利，以“公司管理”替代“公司治理”，实际控制人浓厚的长官意志或行政色彩，使公司治理架构形同虚设，无法借助治理力量促进公司的健康发展，“治理的阳光无法透射管理的灰暗”。严重阻碍了互联网企业的健康快速发展。“乐视危机”、“宝万之争”及“金亚科技丑闻”、“万福生科欺诈发行”等负面消息，说明对公司治理的优化已是刻不容缓。 本文以公司治理理论为研究基础，深入剖析互联网上市企业-R公司的治理体系的建立和持续的运行优化，结合公司上市前后业绩分析，定量化探讨公司治理优化对互联网企业健康发展的推动作用。意在为中小型互联网企业重视、建立、完善、优化公司治理体系及运行、促进公司可持续发展提供建议和实例参考。 本文先介绍传统公司治理的理论、互联网企业治理特征等前人专家学者的相关参考文献，以此作为理论基础，提出本文的研究内容，研究方法、文章结构；利用R公司的治理的运行进行案例分析，详细分析公司行业背景、股权历史沿革、公司治理架构的设置和运行情况。R公司上市前后各年度的经营业绩指标分析研究，从股权结构、董事会运行、股东大会运行、监事会运行和高管薪酬五个各方面，提出对R公司治理案例的启示和优化建议。最后得出本文结论：即互联网公司治理和优化策略应充分遵循互联网企业的公司治理的特殊性，结合现代互联网技术的优势作为发展思维和管理工具，为互联网公司的可持续发展提供价值的案例借鉴，并在文章的结尾指出论文的局限性和对进一步研究的展望。
英文摘要：	Internet enterprises are economic entities based on the network. Compared with traditional enterprises, Internet enterprises have the characteristics of light assets, green development, low energy consumption and independent innovation. In the past 20 years, China's Internet industry has stepped into the fast lane of development, and Internet enterprises have become the darling of the capital market. In recent years, the rapid development of Internet enterprises, but also exposed many problems, such as post-listing performance decline, corporate governance inefficiency, blind expansion of the main deviation. Many Internet companies have been established for many years, and their performance has never been able to break through. From weak to strong, enterprises must rely on talents and rely on technology and lack of financial support. The current situation of the developing Internet enterprises is that, on the one hand, companies are facing difficulties in financing, on the other hand, they neglect the role of governance, which makes potential investors shy away from them. Some managers are too utilitarian in the operation mechanism of the governance structure, often replacing "corporate governance" with "corporate management". In daily decision-making, there is a strong will or administrative color of the actual controller, which makes the corporate governance structure empty and unable to promote the healthy development of the company by means of the governance force. "The sunshine of governance can not penetrate the gray zone of enterprises" this status quo seriously hindered the development of Internet enterprises. In recent years, a series of negative aspects, such as the "Pleasure Crisis", "Bawan Debate" and the "Jinya Scandal of Science and Technology" and "Wanfu Shengke Fraudulent Issuance", have shown that it is urgent to attach importance to and optimize corporate governance. Based on the theory of corporate governance, this paper deeply analyzes the establishment and continuous operation optimization of the governance system of Internet-listed enterprises-R companies, and quantitatively discusses the role of corporate governance optimization in promoting the healthy development of Internet enterprises. It is intended to provide suggestions and examples for small and medium-sized Internet enterprises to attach importance to, establish, improve, optimize corporate governance system and operation, and promote the sustainable development of the company. In this paper, the index of the case company is decomposed and analyzed to promote the application of corporate governance theory system; this paper first introduces the traditional corporate governance theory, and network governance, Internet corporate governance characteristics and other areas of previous experts and scholars of relevant references, as a theoretical basis, this paper puts forward the study of this paper Contents, research methods, article structure; use the operation of R company governance case analysis, a detailed analysis of the company's industry environment background, the history of the company's ownership structure, the company's board of directors, supervisory board, senior management "three sessions" set up and operating efficiency, and the company's performance indicators before and after listing year Through the analysis and research, this paper puts forward the enlightenment and optimization suggestions for R corporate governance cases from five aspects: ownership structure, board of directors operation, shareholder meeting operation, board of supervisors operation and executive compensation. Finally, the paper draws the conclusion that Internet corporate governance and optimization strategy should fully follow the particularity of corporate governance of Internet enterprises, combine the advantages of modern Internet technology as a development thinking and management tool, provide valuable case reference for the sustainable development of Internet companies, and point out the paper at the end of the article. Limitations and prospects for further research.
