| 中文摘要: | 基于当前的经济政策形势,在当前国企混改的政策下,本文结合国有企业改革过程中存在的问题及发展现状,在对国内国有企业混改案例调研分析的基础上,研究总结国内国有企业混合所有制改革的方式方法和成功经验,分析混合所有制改革在中航津电企业改革中的必要性,并对中航津电实施混改的各方面条件进行分析,制定中航津电混改方案,探索混合所有制改革在中航津电的实践,分析提出方案实践过程中的各个步骤,存在的问题及应对措施,从企业自身实际和政府相关政策支持的角度提出方案,有助于完善中航津电的混改和企业经济体制变革,尽早完成混合所有制改革。 研究结论如下:结合市场主流混合所有制改革方式和改革经验,本文提出中航津电应先进行战略梳理,进行非主业剥离,开展定机构定编制定岗位“三定”工作,再通过增资扩股,实施员工股权激励,骨干员工持股10%;通过公开挂牌股权转让,引入战略投资持股39%,完成混合所有制改革,建立具有市场竞争能力的现代企业制度。并在如何确定股权比例和资产定价,建立公开透明的混改规则方面提出政策建议。 | |
| 英文摘要: | Based on the current situation of economic policy, under the current policy of state-owned enterprises' mixed reform, this paper combines the existing problems and development status in the process of the reform of state-owned enterprises. On the basis of the investigation and analysis of the domestic state-owned enterprises' mixed reform cases, the methods and successful experiences of the domestic state-owned enterprises' mixed ownership reform are summarized and analyzed. The necessity of the reform of the mixed ownership system in the reform of TAEMC, and the analysis of the various conditions of the implementation of the mixed reform of TAEMC, the formulation of the mixed reform scheme of TAEMC, the practice of the mixed ownership reform in TAEMC, and the analysis of the various steps in the process of the project practice, the existing problems and the Countermeasures From the point of view of the reality of the enterprise and the policy support of the government, the proposal will help to improve the mixed reform of TAEMC and the reform of the economic system of the enterprises, and complete the reform of the mixed ownership as soon as possible. The conclusions are as follows: according to the reform mode and reform experience of market mainstream mixed ownership system, this paper puts forward that TAEMC should first carry out strategic combing, carry out non main business divestiture, carry out fixed organization and formulate post "three definite" work, and then increase capital and increase shares, carry out employee stock ownership incentive, and share 10% of backbone employees; through public stock ownership; We will start the listing share transfer, introduce 39% of strategic investment, complete the reform of mixed ownership, and establish a modern enterprise system with market competitiveness.
