中文摘要: 近年来,企业间的兼并并购日趋普遍,已经称为企业成长与发展的重要手段。随着中国经济的不断发展,越来越多的中国企业也通过兼并购并的方式扩大企业规模。与此同时,越来越多的跨国公司也纷纷通过兼并购并的方式收购国内高质量的企业,以期达到规模效应。然而,虽然很多企业对通过并购进行扩张的方式抱有很大的期望,但很多企业的经验表明,很多企业间的兼并购并都是失败的,成功的例子只有很少的一部分。已有的研究表明,失败或成功的主要原因都在于并购之后的整合,尤其是在跟人有关的议题方面的整合。人力资源整合已经被证明在并购成功中发挥着关键的作用,因此,本研究重点是如何通过有效的人力资源整合策略,提高企业并购成功率。 为实现研究目的,本研究首先对并购整合的相关理论进行了梳理整理。在理论回顾部分中,本研究首先归纳了并购的概念、并购的类型与动机以及既有研究对并购失败原因的探讨。然后,本研究梳理了并购整合的维度和关键因素的相关研究,并在此基础上,重点探讨了并购中的人力资源整合问题和企业文化整合的问题。其次,根据并购的三个阶段,本研究分析了各个阶段存在的人力资源问题,进而体现了人力资源整合的必要性。研究在第四章提出了本研究的理论框架,即战略决定并购动机和类型,从而采用不同的人力资源整合模式。紧接着,本研究分析了人力资源整合在三个阶段的策略,并在最后分析了并购效果和人力资源整合效果的评估内容和方法。 本研究通过对并购企业人力资源整合的必要性和策略分析,强调了并购战略在并购选择中的作用,并分析了并购效果评估对与并购战略实现的重要意义,期望对未来研究提供借鉴,促进企业并购成功的概率,以促进企业实现并购战略目标。 
英文摘要:Recent years, the M&A(merger and acquisition) between enterprises have become more and more common, and have become an important method for enterprises’ grow and development. Along with the continuous development of China’s economy, more and more Chinese enterprises begin to enlarge their size through M&A. At the same time, more and more muti-nationals purchase high quality Chinese enterprises through merger and acquisition in order to benefit from scale economy effect. But, the successful cases are scarce-even though many enterprises hold very high expectation for M&A, many enterprises’ experience show that many merger and acquisition cases are failures. The existing research indicated that the reason to success or failure lies in the integration afterward, especially the integration related to human resource. Human resource management integration has been proved to be an key element to the success of M&A. This paper discussed the topic that how human resource management integration to advance the success of the M&A. To attain this research goal, this paper firstly sorted relative theories on merger and acquisition and integration. In the part of theory review, this dissertation firstly summarized the concept of M&A, the types of M&A, the motivations of M&A and probed into the cause of M&A failure. Then this dissertation sorted relative researches on the dimensions and key factors of merger and acquisition, and on this basis, focused on the human resource integration and enterprise culture integration during in M&A. Then, based on the three phases of integration, this paper discussed the human resource strategy on each phase, and finally, discussed the way and content of appraising the performance of human resource management integration. This paper emphazed the strategy of M&A on the choice of M&A types, and analyzed the importance of appraising the performance of human resource integration. Based on these contributions, this paper offered reference to further study.
