| 中文摘要: | 董事会决策是群体决策的一种特殊形式,在决策过程中董事会成员需要展开深入沟通、获取充分信息,成员间的交互影响对于决策具有重大影响。为此,必须从传统的对于董事会决策结果的研究向决策过程和行为的研究转变,探讨董事会形成决策的过程与机制。本文从断裂带这一概念着手,探索董事会断裂带的作用机理,建立董事会断裂带对董事会决策的作用路径。同时,本文结合情景因素,探讨在不同的微观和宏观因素作用下,不同类型董事会断裂带对公司创新战略决策产生的影响。 在理论推演与实证检验的基础上,通过本文研究得出以下结论。一是董事会社会类别断裂带对公司创新战略决策具有显著的消极影响;二是董事会认知能力断裂带对公司创新战略决策具有显著的积极影响;三是董事长—总经理两职合一减弱董事会认知能力断裂带对公司创新战略决策的正向影响;四是董事会持股减弱董事会社会类别断裂带对公司创新战略决策的负向影响,增强董事会认知能力断裂带对公司创新战略决策的正向影响;五是产权背景在董事会社会类别断裂带与创新战略决策关系之间存在调节作用,董事会社会类别断裂带对非国有企业创新战略决策的负向影响更强,董事会认知能力断裂带对非国有企业创新战略决策的正向影响更强;六是制度环境负向调节董事会社会类别断裂带与创新战略决策的关系,正向调节董事会认知能力断裂带与创新战略决策的关系。 本文主要有三方面创新。一是从“社会分类——认知能力”两个维度探索董事会断裂带的分类及其对公司创新战略决策的影响效应。本文以董事会成员之间的行为过程切入,从董事会社会类别断裂带、董事会认知能力断裂带两个角度考察董事会由不同组合特征而潜在划分的子群体之间的行为,以及这一行为如何对公司创新战略决策产生影响。二是重点关注并考察董事会断裂带激活,构建了董事会断裂带对公司创新战略决策影响效应的研究模型。本文讨论董事会断裂带在作用于公司创新战略决策过程中受哪些关键因素的影响、制约或激发,重点关注微观变量与宏观变量的董事会断裂带激活机制,并构建了相应的董事会断裂带对公司创新战略决策影响效应的研究模型。三是探索了改进董事会断裂带对公司创新战略决策影响的方法与对策。本文以“董事会建设——公司内部环境——外部市场环境”为线索,提出在中国情境下如何以董事会断裂带为切入点改进我国企业的创新战略决策。 | |
| 英文摘要: | Board decision-making is a special form of group decision making. During the decision-making process, the board members need to conduct in-depth communication and obtain sufficient information. The interaction among members has a significant impact on decision-making. Therefore, it is necessary to change from the traditional research on the decision-making results of the board to the research of decision-making process and behavior, and discuss the process and mechanism of decision-making of the board of directors. This paper starts with the concept of faultlines, explores the mechanism of board faultlines, and establishes the action path of board faultlines. At the same time, this paper discusses the influence of different types of board faultlines on the innovation strategy of the company under different micro and macro factors. Based on theoretical deduction and empirical test, the following conclusions are drawn from this study. First, the social category faultlines of the board has a significant negative impact on the company's innovation strategy decision. Second, the cognitive ability faultlines of the board has a significant positive influence on the company's innovation strategy decision. Thirdly, the combination of chairman and general manager reduces the positive influence of the board's cognitive ability faultlines on the company's innovation strategy decision. Fourthly, the board's shareholding weakens the negative influence of the social category faultlines of the board on the innovation strategy of the company, and strengthens the positive influence of the board's cognitive ability faultlines on the company's innovation strategy decision.Fifth, the property right background plays a moderating role in the relationship between the board's social category faultlines and the strategic decision making of the innovation strategy. The board's social category faultlines has a stronger negative influence on the innovation strategy decision of the non-state-owned enterprises, and the board's cognitive ability faultlines has a stronger positive influence on the innovation strategy decision of the non-state-owned enterprises. Sixth, the institutional environment negatively regulates the relationship between the social category faultlines of the board of directors and the innovation strategy decision. And the institutional environment positively regulates the relationship between the board's cognitive ability faultlines and the innovation strategy decision. There are three main innovations in this paper. First, the effect of the board faultlines on the innovation strategy decision of the company is investigated. Based on process behavior between members of the board of directors, from board of directors of social category faultlines, study of the cognitive ability of faultlines two board of the board of directors by different combination characteristics and potential behavior between subgroups, and how this behavior to influence company innovation strategy. Second, the paper constructs the research model of the influence effect of the board fault on the company's innovation strategy decision. In this paper, we discuss the board faultlines in the role in the company innovation by what are the key factors in the process of strategic decision, restriction or inspire, focus on the microscopic and macroscopic variables faultlines activation mechanism of the board, and build the corresponding faultlines on the company's innovation strategy effect by the board of directors of the research model. Third, it explores the ways and countermeasures to improve the influence of the board faultlines on the company's innovation strategy. In this paper, according to the construction of "the board of directors - the company's internal environment - the external market environment" as the clue, is put forward under the situation in China, how to use the board fault zone as the breakthrough point to improve our country enterprise innovation strategy. | |
